TINs. The Issuer and the Depositor each represent that its correct TIN assigned by the Internal Revenue Service or any other taxing authority is set forth in Schedule 1. All interest or other income earned under the Escrow Agreement, if any, shall be allocated and/or paid as directed in a joint written direction of the Issuer and the Depositor and reported by the recipient to the Internal Revenue Service or any other taxing authority. Notwithstanding such written directions, the Escrow Agent shall report and, if required, withhold any taxes as it determines may be required by any law or regulation in effect at the time of the distribution. In the absence of timely direction, all proceeds of the Escrow Fund shall be retained in the Escrow Fund and reinvested from time to time by the Escrow Agent as provided in Section 3. In the event that any earnings remain undistributed at the end of any calendar year, the Escrow Agent shall report to the Internal Revenue Service or such other authority such earnings as it deems appropriate or as required by any applicable law or regulation or, to the extent consistent therewith, as directed in writing by the Issuer and the Depositor. In addition, the Escrow Agent shall withhold any taxes it deems appropriate and shall remit such taxes to the appropriate authorities.
TINs. The Issuer and the Depositor represent that its correct Taxpayer Identification Number (“TIN”) assigned by the Internal Revenue Service or any other taxing authority is set forth in Schedule 1. Unless otherwise indicated in writing by the parties hereto, no taxes or other withholdings are required to be made under applicable law or otherwise with respect to any payment to be made by Escrow Agent. All documentation necessary to support a claim of exemption or reduction in such taxes or other withholdings has been timely collected by Issuer and copies will be provided to Escrow Agent promptly upon a request therefor. Unless otherwise agreed to in writing by Escrow Agent, all tax returns required to be filed with the IRS and any other taxing authority as required by law with respect to payments made hereunder shall be timely filed and prepared by Issuer, including but not limited to, any applicable reporting or withholding pursuant to the Foreign Account Tax Reporting Act (“FATCA”). The parties hereto acknowledge and agree that the Escrow Agent shall have no responsibility for the preparation and/or filing of any tax return or any applicable FATCA reporting with respect to the Escrow Fund. The Escrow Agent shall withhold any taxes it deems appropriate, including but not limited to required withholding in the absence of proper tax documentation, and shall remit such taxes to the appropriate authorities as it determines may be required by any law or regulation in effect at the time of the distribution.

Upon execution of this Agreement, the Buyer and Seller shall provide the Escrow Agent with a fully executed W-8 or W-9 IRS form, which shall include the Buyer's and Seller's TIN. The Issuer, Depositor and the Subscribers, as applicable are each required to prepare and file any and all income or other tax returns applicable to the Escrow Account with the Internal Revenue Service and all required state and local departments of revenue in all years income is earned in any particular tax year as and to the extent required under the provisions of the Code. Any taxes payable on income earned from the investment of any sums held in the Escrow Account shall be paid by the Issuer, the Depositor, or the Subscribers, as applicable, whether or not the income was distributed by the Escrow Agent. The Escrow Agent shall have no responsibility for the preparation and/or filing of any tax or information return with respect to any transaction, whether or not related to the Agreement that occurs outside the Escrow Account.

The Managing Owner and the Issuer each represent (severally and not jointly) that its correct TIN assigned by the Internal Revenue Service ("IRS") any other taxing authority is set forth in Schedule 1. Upon execution of this Escrow Agreement, the Managing Owner and the Issuer shall provide the Escrow Agent with a fully executed W-8 or W-9 ITS form, which shall include the Managing Owner's and the Issuer's TIN. In the case of payments of interest or income to Subscribers directly, as mentioned in Section 4(ii), Subscriber must also remit their respective W-9 forms (or W-8 if foreign), to the Escrow Agent to prevent any backup withholding tax. All interest or other income earned under the Escrow Agreement shall be allocated and/or paid as directed in a written direction of the Managing Owner and the Issuer and reported by the recipient to the Internal Revenue Service or any other taxing
TINs. Merilus USA and Holder each represent that its correct Taxpayer Identification Number ("TIN") assigned by the Internal Revenue Service or any other taxing authority is set forth in Schedule 1. All interest or other income earned under the Escrow Agreement will be allocated to Holder in proportion to Holder's interest in the Escrow Fund and reported by the Holder to the Internal Revenue Service or any other taxing authority. Notwithstanding such written directions, Escrow Agent will report and, as required withhold any taxes as it determines may be required by any law or regulation in effect at the time of the distribution. In the event that any earnings remain undistributed at the end of any calendar year, Escrow Agent will report to the Internal Revenue Service or such other authority such earnings as it deems appropriate or as required by any applicable law or regulation or, to the extent consistent therewith, as directed in writing by Merilus USA and the Holder. In addition, Escrow Agent will withhold any taxes it deems appropriate and will remit such taxes to the appropriate authorities.

All interest or other income earned under the Escrow Agreement shall be allocated to Holders in proportion to each Holders's interest in the Escrow Fund and reported by the Holders to the Internal Revenue Service or any other taxing authority. Notwithstanding such written directions, Escrow Agent shall report and, as required withhold any taxes as it determines may be required by any law or regulation in effect at the time of the distribution. In the event that any earnings remain undistributed at the end of any calendar year, Escrow Agent shall report to the Internal Revenue Service or such other authority such earnings as it deems appropriate or as required by any applicable law or regulation or, to the extent consistent therewith, as directed in writing by Buyer and the Indemnification Representative. In addition, Escrow Agent shall withhold any taxes it deems appropriate and shall remit such taxes to the appropriate authorities.
TINs. Buyer and Seller each represent that its correct Taxpayer Identification Number ("TIN") assigned by the Internal Revenue Service or any other taxing authority is set forth in SCHEDULE 8 hereto. Upon execution of this Agreement, each party shall provide Inventory Escrow Agent with a fully executed W-8 or W-9 Internal Revenue Service form. All interest or other income earned under this Agreement shall be retained in Inventory Escrow Account and reinvested from time to time by Inventory Escrow Agent as provided in Section 3 of this Agreement. All income and earnings upon the Inventory Escrow Account shall be deemed for tax purposes to have accrued for the account of Seller and reported by the recipient to the Internal Revenue Service (where applicable) as having been so allocated and paid. Notwithstanding such written directions, Inventory Escrow Agent shall report and, as required withhold any taxes as it determines may be required by any law or regulation in effect at the time of the distribution. In the event that any earnings remain undistributed at the end of any calendar year, Inventory Escrow Agent shall report to the Internal Revenue Service or such other authority such earnings as it deems appropriate or as required by any applicable law or regulation or, to the extent consistent therewith, as directed in writing by Buyer and Seller. In addition, Inventory Escrow Agent shall withhold any taxes it deems appropriate and shall remit such taxes to the appropriate authorities.
