Trademarks Trade Names and Trade Secrets. Franchisee acknowledges that Franchisee is required, if possible, to prevent those persons or parties associated with or employed by it from the unauthorized use of the Marks and also to maintain and control the quality of products sold through the use of those Marks. Franchisee therefore covenants and agrees to perform and abide by the following provisions: 5.1 Franchisee shall not use the Marks or any stylistic or colorable variation thereof as: (i) part of a trademark, service mark or trade name of any corporation, partnership, proprietorship or other business entity in which Franchisee owns or holds any interest; or as (ii) the trademark, trade name or assumed name of any business entity except in connection with the terms of this Agreement and the Franchised Restaurant. Specifically, and without limitation, Franchisee may not use the name “WING ZONE” in the name of any corporation, partnership, proprietorship or other business entity in which Franchisee owns or holds any interest. 5.2 Franchisee shall not use any of the Marks in connection with any advertising, promotion, sale or distribution of any item or other product not included on Franchisor’s approved list or for any service not offered by Franchisor without Franchisor’s prior written consent. 5.3 Franchisee shall not use or allow the use of Franchisor’s Marks in or on any promotional material, advertisement, display, business forms or other printed material without affixing the Marks to these materials in the manner required by Franchisor. All advertising and promotions must conform to the standards and requirements specified by Franchisor. Franchisee must submit to Franchisor, in the manner Franchisor specifies, for prior written approval, samples of all advertising and promotional plans and materials to be used by Franchisee in the Franchised Restaurant and none of these materials may be used without the express prior written consent of Franchisor.
Trademarks Trade Names and Trade Secrets. Associate agrees that 1. Krispy Kreme has the sole and exclusive right (except for certain rights granted under existing and future license agreements) to use the Marks, trade names and trade secrets set forth herein and Associate represents, warrants and agrees that, neither during the term of this Agreement nor after the expiration or other termination hereof, shall Associate directly or indirectly contest or aid in contesting the validity or ownership of the Marks, trade names or trade secrets or take any action whatsoever in derogation of Krispy Kreme's claimed rights therein. 2. Nothing contained in this Agreement shall be construed to vest in Associate any right, title or interest in or to Krispy Kreme's Marks, the goodwill now or hereafter associated therewith, or any right in the design of the doughnut producing facility, doughnut shop, signs and other distinctive equipment, other than the rights and license expressly granted herein. Any and all goodwill associated with the use of Krispy Kreme's Marks and name shall inure directly and exclusively to the benefit and is the property of Krispy Kreme. 3. Associate shall advertise and promote the licensed business only under Krispy Kreme Marks; and his advertising or other use of Krispy Kreme's Marks shall not contain any statement or material which, in the judgment of Krispy Kreme, may be in bad taste or inconsistent with Krispy Kreme's public image. Krispy Kreme reserves the right to preview and edit any of Associate's television and radio advertisements prior to Associate's commitment thereto. 4. Associate shall use the business name "Krispy Kreme Doughnut Company" during the term of this Agreement and no longer. Such business name may be changed upon prior written approval by Krispy Kreme. Associate shall not use the words "Krispy Kreme" or similar words in any corporate name.
Trademarks Trade Names and Trade Secrets a. Use in Title. Dealer shall not use as, or as part of, its trading or firm title any name that is not acceptable to the Company. Without the Company’s prior consent, Dealer shall not use “New Holland” or any trade names or trademarks owned or used by CNH America LLC or any predecessor or affiliate company, as or as part of Dealer’s firm, trade or corporate name and shall not permit any person, firm or corporation controlled by it or affiliated with it to do so. Such trade names and trademarks belong to CNH America LLC or its affiliates and may be used by Dealer only in connection with the advertisement and sales of PRODUCTS sold to Dealer by the Company. Any such use by Dealer shall immediately cease upon termination of the business relationship between the Company and Dealer.

  • Trade Names and Trademarks No Issuer Entity may use any company name, trade name, trademark or service xxxx or logo of Ameriprise or any person or entity controlling, controlled by, or under common control with Ameriprise without Ameriprise’s prior written consent.

To the knowledge of the Company, all such Intellectual Property Rights are enforceable and there is no existing infringement by another Person of any of the Intellectual Property Rights. The Company and its Subsidiaries have taken reasonable security measures to protect the secrecy, confidentiality and value of all of their intellectual properties, except where failure to do so could not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect.

  • Trademarks, Etc Except to the extent required by applicable law, no Party shall use any other Party's names, logos, trademarks or service marks, whether registered or unregistered, without the prior consent of such Party.

  • Patents, Trademarks, Copyrights and Licenses All patents, patent applications, trademarks, trademark applications, service marks, service xxxx applications, copyrights, copyright applications, design rights, tradenames, assumed names, trade secrets and licenses owned or utilized by any Borrower are set forth on Schedule 5.9, are valid and have been duly registered or filed with all appropriate Governmental Bodies and constitute all of the intellectual property rights which are necessary for the operation of its business; there is no objection to or pending challenge to the validity of any such patent, trademark, copyright, design rights, tradename, trade secret or license and no Borrower is aware of any grounds for any challenge, except as set forth in Schedule 5.9 hereto. Each patent, patent application, patent license, trademark, trademark application, trademark license, service xxxx, service xxxx application, service xxxx license, design rights, copyright, copyright application and copyright license owned or held by any Borrower and all trade secrets used by any Borrower consist of original material or property developed by such Borrower or was lawfully acquired by such Borrower from the proper and lawful owner thereof. Each of such items has been maintained so as to preserve the value thereof from the date of creation or acquisition thereof. With respect to all software used by any Borrower, such Borrower is in possession of all source and object codes related to each piece of software or is the beneficiary of a source code escrow agreement, each such source code escrow agreement being listed on Schedule 5.9 hereto.

  • Copyrights, Patents and Trademarks (i) Borrower hereby represents and warrants that, as of the date of this Agreement, Borrower does not have any maskworks, computer software, or other copyrights, that are registered (or are the subject of any application for registration) with the United States Copyright Office. Borrower hereby covenants and agrees that Borrower will NOT register with the United States Copyright Office (or apply for such registration of) any of Borrower’s maskworks, computer software, or other copyrights, unless Borrower has provided Lender not less than 30 days prior written notice of the commencement of such registration/application and Borrower has executed and delivered to Lender such security agreement(s) and other documentation (in form and substance reasonably satisfactory to Lender) which Lender in its good faith business judgment may require for filing with the United States Copyright Office with respect to such registration or application. (ii) Borrower will identify to Lender in writing any and all patents and trademarks of Borrower that are registered (or the subject of any application for registration) with the United States Patent and Trademark Office and, upon Lender’s request therefor, promptly execute and deliver to Lender such security agreement(s) and other documentation (in form and substance reasonably satisfactory to Lender) which Lender in its good faith business judgment may require for filing with the United States Patent and Trademark Office with respect to such registration or application. (iii) Borrower will: (x) protect, defend and maintain the validity and enforceability of Borrower’s copyrights, patents, and trademarks; (y) promptly advise Lender in writing of material infringements of Borrower’s copyrights, patents, or trademarks of which Borrower is or becomes aware; and (z) not allow any material item of Borrower’s copyrights, patents, or trademarks to be abandoned, forfeited or dedicated to the public without Lender’s written consent.

  • Patents, Trademarks, Copyrights, Licenses, Etc Each Loan Party and each Subsidiary of each Loan Party owns or possesses all the material patents, trademarks, service marks, trade names, copyrights, licenses, registrations, franchises, permits and rights necessary to own and operate its properties and to carry on its business as presently conducted and planned to be conducted by such Loan Party or Subsidiary, without known possible, alleged or actual conflict with the rights of others.
