Transfer of Approvals. Upon expiration or termination of the Agreement, Distributor shall to the extent permitted by applicable Law, promptly transfer or cause to be transferred to Cipher all Approvals relating to the Product that are in the name of Distributor, at Distributor’s cost (except in the case of any termination by Distributor under Sections 9.2(a) or 9.2(b), in which case Cipher shall bear such costs).
Transfer of Approvals. In the event that the Product Approvals and the Reimbursement Approvals (if any) relating to any Product or Extended Product in any country in the Territory is in the name of Wyeth or any of its Affiliates, it shall be transferred to Biomatrix immediately upon termination of the Agreement.

Transfer of Approvals. The Seller Group agrees to, and to cause its Affiliates and other business associates to, cooperate with the Purchaser following the Closing Date, at Purchaser’s expense, to transfer all Approvals to the Purchaser or its designee, to the extent legally transferable. Each Member of the Seller Group grants to the Purchaser the right to refer to the Seller Group’s regulatory filings related to the manufacture, marketing, sale and distribution of each of the Products to the extent not properly included in the Assets. Upon written request from the Purchaser, the Seller Group will supply the Purchaser with copies of such filings.
Transfer of Approvals. Upon any termination or expiration of this Agreement SAMARITAN shall immediately assign or cause to be transferred to 3RP or its nominee all Regulatory Approvals and all licenses, registered uses, distribution arrangements and other rights SAMARITAN may have acquired hereunder with respect to the Product, including the Marks, and SAMARITAN shall have no further rights thereto. To the extent assignment or transfer of the Regulatory Approvals and all licenses, registered uses, distribution arrangements and other rights is not permitted under local law in the Territory, SAMARITAN shall cooperate in the cancellation or abandonment of same, and in the reissuance thereof to 3RP or its nominee. SAMARITAN shall not after termination or expiration of this Agreement use in the Territory any name or marks confusingly similar to the Marks.
Transfer of Approvals. The Vendor agrees to use all reasonable endeavours to transfer to the Purchaser, and the Purchaser agrees to use all reasonable endeavours to assist the Vendor to transfer, such Approvals as may be transferable, or to assist the Purchaser in obtaining equivalent Approvals, prior to Completion. For the avoidance of doubt, nothing in this clause limits the provisions of clause 2.
