Transfer of Domain Name. The domain names registered in the name of the Persons other than the Group Companies disclosed in Section 5.13(b) of the Disclosure Schedule shall have been duly transferred to the applicable Group Company without consideration and documentation evidencing completion of the foregoing shall have been delivered to the Purchaser to its reasonable satisfaction.
Transfer of Domain Name. The Warrantors shall procure JIANG Wenhua to transfer the domain name (xxxxxxxxx.xxx) to the Group Companies as soon as practical after the Closing (in any event within two (2) months after the Closing).
Transfer of Domain Name. Seller shall have delivered to Purchaser all documents necessary or appropriate to cause the Domain Name and the registration thereof, together with the goodwill of the business connected with and symbolized by such Domain Name, including, without the limitation, the trademark and the service xxxx “xxxxxxxxxxx.xxx” and any intellectual property rights relating thereto (to the extent any such trademark, service xxxx, or intellectual property rights exist), to be Transferred from Seller to Purchaser. Such documents shall contain no omissions, limitations or qualifications, and shall be fully executed by authorized officers of Seller, such that the only remaining step to be taken by Purchaser to accomplish the Transfer of the Domain Name and the registration therefor from Seller to Purchaser is the Purchaser's filing of such documents with the appropriate third parties; and
Transfer of Domain Name. CONKWEST hereby transfers (the “Transfer”) to CONEKSIS all of its rights, title, and interest in and to the domain name “xxx.xxxxxxxx.xxx” (the “Domain Name”) and shall, within thirty (30) days of the Effective Date of this Agreement, effectuate such transfer with the registrar of the Domain Name.
Transfer of Domain Name. The parties agree that upon the occurrence of a Transfer Event as defined in the Call Option Agreement, the parties intend that the Domain Name shall be transferred immediately by Seller to the Buyer. Seller agrees that upon such occurrence, it shall execute and submit a Domain Name transfer authorization form or such other documents in a format acceptable to the Registrar as shall be effective to vest in Buyer any and all right and interest of Seller in and to the Domain Name free and clear of all Liens. In such event, the Call Option Agreement and all Security Documents shall immediately terminate at such time as Buyer is the owner and registrant of the Domain Name as indicated on the “Who Is” domain registration lookup. Seller agrees that until such time, it shall (i) take such action as may be necessary to grant to Buyer all administrative rights with the Registrar related to the Domain Name as required for Buyer to access the Web Site at any time for any reason; (ii) not transfer ownership of the Domain Name, or the registration thereof, to any other person or entity; (iii) change the registrar of the Domain, without the prior written consent of InterSearch, which consent may not be unreasonably withheld; or (iv) cooperate with and assist Buyer in its operation of the Business as reasonably requested by Buyer, to the extent such cooperation and assistance relates to or arises out of the ownership or registration of the Domain Name.
Transfer of Domain Name. Documentation evidencing that the Company is the registered owner of all domain names used by the Company or any member of the Company Group.
Transfer of Domain Name. The Selling Member Group shall cause the registration of the domain names: xxxxxxxxxxxxxx.xxx, and any other domain names or social media accounts associated with the Business to be transferred to Buyer within thirty (30) days following the Closing.
Transfer of Domain Name. Sellers shall use their reasonable best efforts to cause their affiliate, OSite Informatica, to transfer the domain name wxx.xxxxxxxxx.xxx.xx to Imagen (or in the event Purchaser notifies Claxson in writing that the domain name should be transferred to a different entity that is an affiliate of Purchaser, to such entity), as soon as practicable and in ay event within 90 days following the Closing.
Transfer of Domain Name. (a) Upon receipt of the Purchase Price, Seller shall execute all documents, papers, forms, and authorizations, and take such other actions as are necessary to effectuate the transfer of ownership and control of the Domain Name to Buyer, and cause the Domain Name to be registered in the name of Buyer with the Registrar.
(b) The Domain Name will be deemed transferred (“Transfer”) when:
(i) Registrar has confirmed the transfer in accordance with its procedures therefor;
(ii) the applicable WHOIS database identifies Xxxxx as the registrant of the Domain Name; and
(iii) the Buyer has administrative and technical access to the Domain Name, and sole control over where the Domain Name points.
Transfer of Domain Name. As soon as practical following the Closing, the Company shall procure that the domain names, general internet addresses and the wireless internet addresses as set forth in Schedule 10 shall be duly transferred and registered in the name of Phoenix Satellite Television Company Limited or its designated nominees.
