Transfer of Personal Property. Seller hereby sells, transfers, assigns, conveys, grants and delivers to Buyer all of the right, title and interest of Seller in and to all of the Personal Property.
Transfer of Personal Property. Effective as of the date hereof, Transferor hereby grants, assigns, transfers, conveys and delivers to Transferee, absolutely and unconditionally, and free from all encumbrances and other claims of any kind, all of Transferor’s right, title and interest in and to the Personal Property (as defined in the Agreement) as listed on Exhibit B to this Bxxx of Sale, which is attached hereto and incorporated herein by reference.
Transfer of Personal Property. Trustor shall not voluntarily, ----------------------------- involuntarily or by operation of law sell, assign, transfer, hypothecate, pledge or otherwise dispose of the Personal Property or any interest therein and shall not otherwise do or permit anything to be done or occur that may impair the Personal property as security hereunder, except that so long as this Deed of Trust is not in default, Trustor shall be permitted to sell or otherwise dispose of the Personal Property when absolutely worn out, inadequate, unserviceable or unnecessary for use in the operation of the Property or in the conduct of the business of Trustor, upon replacing the same or substituting for the same other Personal Property at least equal in value to the initial value of that disposed of and in such a manner so that said Personal Property is sold in connection with the sale of the Property.
Transfer of Personal Property. The Personal Property to be conveyed at 211 closing shall be conveyed, by Seller, free and clear of all taxes (except personal property taxes for the 212 year of closing), liens and encumbrances, except 214 Conveyance shall be by bill of sale or other applicable legal instrument. 215
Transfer of Personal Property. The personal property to be conveyed at closing as set forth on attached Exhibit “B”, if any, shall be conveyed, without warranty, by Seller, free and clear of all personal property taxes and assessments (except personal property taxes and assessments for the year of closing), liens and encumbrances. Conveyance shall be by xxxx of sale or other applicable legal instrument, without warranty.
Transfer of Personal Property. Seller agrees, at the time of closing hereunder and upon receipt of the balance due on the Purchase Price, to execute and deliver to Buyer a Quitclaim Xxxx of Sale with respect to the Personal Property, and said Xxxx of Sale shall release to Buyer all right, title and interest of Seller in and to the Personal Property subject to all encumbrances, liens (including, without limitation, unpaid personal property taxes and personal property tax liens), charges, laws, redemption rights, matters and regulations.
Transfer of Personal Property. Seller will execute and deliver to Buyer a transferable bxxx of sale, pursuant to which Seller will transfer to Buyer marketable fee simple title to the Personal Property, free and clear of all liens and encumbrances. The bxxx of sale will be in the form attached hereto as Exhibit M.
Transfer of Personal Property. The Personal Property to be conveyed at Closing shall be conveyed, by Seller, free and clear of all taxes, (except personal property taxes for the year of closing), liens and encumbrances, except None. Conveyance shall be by bill of sale or other applicable legal instrument.
Transfer of Personal Property. On the Closing Date, Sellers will transfer to Cal-Maine the personal property at the values shown in Exhibit 2.02. The transfer shall be by Xxxx of Sale, free and clear of any lien or encumbrance. The personal property described in Exhibit 2.02(a), if any, shall be subject to the exchange provisions of this Article II.
Transfer of Personal Property and Capital Additions to Lessor --------------------------------------------------------------------- . Upon the expiration or earlier termination of this Lease with respect to a Facility, Xxxxxx's Personal Property relating to such Facility which does not provide a new function with respect to Lessor's Personal Property relating to such Facility shall become the property of Lessor, free of any encumbrance and Lessee shall execute all documents and take any actions reasonably necessary to evidence such ownership and discharge any encumbrance. ARTICLE VII. ------------- 7.1 Condition of the Leased Property ------------------------------------ . Lessee acknowledges receipt and delivery of possession of the Leased Property and confirms that Xxxxxx has examined and otherwise has knowledge of the condition of the Leased Property prior to the execution and delivery of this Lease and, as of the Original Lease Commencement Date with respect to each portion of the Leased Property, has found the same to be in good order and repair, free from Hazardous Substances not in compliance with Legal Requirements (except as disclosed on the Property Condition Reports) and satisfactory for its purposes hereunder. Regardless, however, of any examination or inspection made by Xxxxxx and whether or not any patent or latent defect or condition was revealed or discovered thereby, Lessee is leasing the Leased Property "as is" in its present condition. Lessee waives any claim or action against Lessor in respect of the condition of the Leased Property including any defects or adverse conditions not discovered or otherwise known by Lessee as of the Original Lease Commencement Date. XXXXXX MAKES NO WARRANTY OR REPRESENTATION, EXPRESS OR IMPLIED, IN RESPECT OF THE LEASED PROPERTY OR ANY PART THEREOF, EITHER AS TO ITS FITNESS FOR USE, DESIGN OR CONDITION FOR ANY PARTICULAR USE OR PURPOSE OR OTHERWISE, OR AS TO THE NATURE OR QUALITY OF THE MATERIAL OR WORKMANSHIP THEREIN, OR THE EXISTENCE OF ANY HAZARDOUS SUBSTANCE, IT BEING AGREED THAT ALL SUCH RISKS, LATENT OR PATENT, ARE TO BE BORNE SOLELY BY LESSEE INCLUDING ALL RESPONSIBILITY AND LIABILITY FOR ANY ENVIRONMENTAL REMEDIATION AND COMPLIANCE WITH ALL ENVIRONMENTAL LAWS. 7.2 Use of the Leased Property. ------------------------------ 7.2.1 Lessee covenants that it will obtain and maintain all authorizations and approvals needed to use and operate the Leased Property and each Facility for such Facility's respective Primary Intended Use and a...
