Transfer of Personal Property. Seller hereby sells, transfers, assigns, conveys, grants and delivers to Buyer all of the right, title and interest of Seller in and to all of the Personal Property.
Transfer of Personal Property. Trustor shall not voluntarily, ----------------------------- involuntarily or by operation of law sell, assign, transfer, hypothecate, pledge or otherwise dispose of the Personal Property or any interest therein and shall not otherwise do or permit anything to be done or occur that may impair the Personal property as security hereunder, except that so long as this Deed of Trust is not in default, Trustor shall be permitted to sell or otherwise dispose of the Personal Property when absolutely worn out, inadequate, unserviceable or unnecessary for use in the operation of the Property or in the conduct of the business of Trustor, upon replacing the same or substituting for the same other Personal Property at least equal in value to the initial value of that disposed of and in such a manner so that said Personal Property is sold in connection with the sale of the Property.
Transfer of Personal Property. Effective as of the date hereof, Transferor hereby grants, assigns, transfers, conveys and delivers to Transferee, absolutely and unconditionally, and free from all encumbrances and other claims of any kind, all of Transferor’s right, title and interest in and to the Personal Property (as defined in the Agreement) as listed on Exhibit B to this Bxxx of Sale, which is attached hereto and incorporated herein by reference.
Transfer of Personal Property. The Personal Property to be conveyed at 211 closing shall be conveyed, by Seller, free and clear of all taxes (except personal property taxes for the 212 year of closing), liens and encumbrances, except 214 Conveyance shall be by bill of sale or other applicable legal instrument. 215
Transfer of Personal Property. Seller agrees, at the time of closing hereunder and upon receipt of the balance due on the Purchase Price, to execute and deliver to Buyer a Quitclaim Xxxx of Sale with respect to the Personal Property, and said Xxxx of Sale shall release to Buyer all right, title and interest of Seller in and to the Personal Property subject to all encumbrances, liens (including, without limitation, unpaid personal property taxes and personal property tax liens), charges, laws, redemption rights, matters and regulations.
Transfer of Personal Property. The personal property to be conveyed at closing as set forth on attached Exhibit “B”, if any, shall be conveyed, without warranty, by Seller, free and clear of all personal property taxes and assessments (except personal property taxes and assessments for the year of closing), liens and encumbrances. Conveyance shall be by xxxx of sale or other applicable legal instrument, without warranty.
Transfer of Personal Property. Seller will execute and deliver to Buyer a transferable xxxx of sale, pursuant to which Seller will transfer to Buyer marketable fee simple title to the Personal Property, free and clear of all liens and encumbrances. The xxxx of sale will be in the form attached hereto as Exhibit M.
Transfer of Personal Property. Notwithstanding anything to the contrary in Section 6.3 of the Original Lease, but subject to the provisions of Section 6.4 of the Original Lease, for valuable consideration, including the payment of $1.00, the receipt and sufficiency of which are hereby acknowledged, Lessor hereby transfers and conveys, without warranty, either express or implied, all right, title and interest of Lessor in and to the Personal Property. In order that Lessee be in possession of an instrument evidencing such transfer and conveyance, Lessor shall, concurrently with its execution and delivery to Lessee of a fully executed copy of this Amendment, deliver to Lessee a xxxx of sale in the form attached hereto as Exhibit A.
Transfer of Personal Property. Indus hereby transfers to you title to those items of personal property listed on Exhibit A to this letter and agrees to execute such bills of sale, motor vehicle titles, and other good and sufficient similar instruments and documents of conveyance and transfer necessary to complete the transfer of the title or possession of such personal property to, or vest them in, you.
Transfer of Personal Property. On the Closing Date, Sellers will transfer to Cal-Maine the personal property at the values shown in Exhibit 2.
