Transfer of Production. If Hospira becomes subject to an event of force majeure which interferes with production of Product at the Facility, the parties shall mutually agree on implementation of an agreed-upon action plan to transfer production of Product to another Hospira plant. The parties shall, after the execution of this Agreement and at the request of either party, meet to discuss and define such an action plan.

The Parties shall, after the execution of this Agreement and at the request of either Party, meet to discuss and define such an action plan.

If Abbott becomes subject to an event of force majeure or problems are encountered which interfere with production of Product at Xxxxxx'x McPherson, Kansas plant, the parties shall agree mutually on implementation of an agreed upon action plan to transfer production to another Abbott plant. The parties shall meet, after the execution of this Agreement and at the request of either party, to discuss and define such an action plan.
Transfer of Production. If (a) Hospira becomes subject to an event of force majeure that prevents Hospira from supplying in accordance with this Agreement; (b) there is a Failure to Supply under Section 5.9; (c) Revance terminates the Agreement in accordance with Section 9.4; (d) Hospira ceases to conduct business or files or has filed against it a petition seeking reorganization or a similar procedure; or (e) a receiver, trustee, or similar officer is appointed for the business or property of Hospira, or Hospira makes an assignment for the benefit of creditors (“Trigger Event”); Hospira shall reasonably cooperate and assist Revance [ ] = Certain confidential information contained in this document, marked by brackets, has been omitted and filed separately with the Securities and Exchange Commission pursuant to Rule 406 of the Securities Act of 1933, as amended.
Transfer of Production. It is agreed between the parties that there is a possibility that DMDS will be in charge of the production of the wireless cameras for the North American market. If D.M.D.S. chooses this option, DDM promises to collaborate with D.M.D.S. (meaning to provide the documentation, the manufacturing instructions, the existing information relating to the production of the wireless cameras), so that D.M.D.S. could continue the production of these cameras. For this doing, D.M.D.S. must inform, by all means agree by the parties, the company DDM, at least three months in advance. However, the royalties will continue to be paid to DDM by D.M.D.S.

Transfer of Production. In the event of termination of this Agreement, VENUSA shall physically transfer all assets owned by CUSTOMER, including all raw materials, WIP, finished goods, tooling, fixturing and equipment to manufacturer nominated by CUSTOMER. All specifications, drawings, procedures, documents and other process information would also be transferred. VENUSA shall also provide reasonable assistance and training to alternate manufacturer, for a maximum duration of 9 months. CUSTOMER shall bear reasonable expenses associated with such assistance and training. If CUSTOMER terminates this Agreement for cause, VENUSA will bear all reasonable costs (subject to Section 8.3), except for documented out-of-pocket expenses related to the transfer of manufacturing, which CUSTOMER will reimburse.
