Transfer of Sponsorship. The parties acknowledge that Halliburton is designated as the sponsor with respect to the Halliburton NUS Corporation Employees’ Profit Sharing Plan (the “NUS Profit Sharing Plan”) and the Halliburton NUS Corporation Employees’ Pension Plan (the “NUS Pension Plan”), which plans provide benefits solely to KBR employees. On or before the Deconsolidation Date, Halliburton and KBR hereby agree to transfer the sponsorship of the NUS Profit Sharing Plan, the NUS Pension Plan and any other KBR Pension Plan (as applicable) from Halliburton to KBR. Furthermore, from and after the Deconsolidation Date, KBR shall have the sole obligation to provide to KBR Employees any benefits to which such employees are entitled under the NUS Profit Sharing Plan and the NUS Pension Plan, and Halliburton shall be relieved from all obligation or liability for the provision of such benefits to KBR Employees; provided, however, that to the extent any such benefits are funded in a trust maintained by Halliburton, such trust shall be divided between Halliburton and KBR as contemplated in Section 8.6 hereof.

a. Transfers will generally be approved in three (3) circumstances only:
(1) In the case of unethical sponsoring by the original sponsor. In such cases, the Company will be the final authority.
(2) With the written approval of the immediate five (5) upline sponsors.
(3) Resigning from the Company entirely and waiting three (3) months to reapply under the new sponsor.
b. In cases of unethical sponsoring, the individual may be transferred with any downlines intact; in all other events, the individual alone is transferred without any downline Brand Promoters being removed from the original line of sponsorship.
Transfer of Sponsorship. Outlook shall within eight (8) business days after the date of FDA Approval send written notice to the FDA transferring the sponsorship of the ANDA to Auriga and Auriga shall at the same time send written notice to the FDA assuming all obligations thereunder, and such notices shall have an effective date that is approximately thirty (30) days after the date of FDA Approval. The parties shall coordinate with one another and shall send such notices simultaneously, and each party shall deliver a copy of its FDA notice to the other party.
Transfer of Sponsorship. Transfer of sponsorship will only be granted if appropriately applied for and approved by the Company. The Company may withhold, in its sole discretion, approval for any transfer of sponsorship for any reason. Transfer of sponsorship is highly discouraged and requires the following:
a) The written consent of all affected Sellers, including all other Sellers above the requesting Seller; and,
b) A written request for transfer, stating the exact reason for the transfer; and,
c) A transfer fee of $50.00 In the event that the request for transfer of sponsorship is approved, the team of any proposed transferred Seller will not be transferred with the Seller.
Transfer of Sponsorship. Cydex shall promptly after the Effective Date send written notice as reasonably requested by Prism to the FDA transferring the sponsorship of the Registrations to Prism and Prism shall promptly after the Effective Date send written notice, as reasonably requested by CyDex or at its own discretion, to the FDA assuming all obligations thereunder, and such notices shall have an effective date that is approximately [***] days after the Effective Date (or such other date as may be agreed to by the Parties). CyDex shall reasonably assist Prism with the preparation and filing of all amendments to INDs, NDAs and orphan drug designations related to the Licensed Products. The Parties shall coordinate with one another and shall send such notices simultaneously, and each Party shall deliver a copy of its FDA notice to the other Party. CyDex shall promptly furnish to Prism the Registrations, to the extent not previously transferred, and the books and records relating thereto.
Transfer of Sponsorship. If at any time while Merck is conducting Study -006, Idera or a licensee of Idera has the ability to assume the role as sponsor of such trial and it is feasible from a regulatory perspective to transfer sponsorship, then Idera, in its sole discretion, may contact Merck and the Parties will work reasonably and diligently to implement the transfer of such sponsorship, with Idera or its licensee assuming all future, third-party costs for conducting the Study -006 beginning on the effective date of the sponsorship transfer. For clarity, Idera or its licensee shall cover any additional costs, including but not limited to Merck’s internal costs, caused by the transfer of sponsorship.
Transfer of Sponsorship. A Distributor who wishes to re-register under a new line of Sponsorship will need to be inactive for a period of three months. The Distributor must provide written notification to Home Office and the up-line Sponsor of his/her intention to cease trading as a Distributor. To be effective such notification must be accepted by Vita-Vida and the up-line Sponsor.
Transfer of Sponsorship. Although it is strongly discouraged and is seldom permitted, a Utopia Partner may transfer to a different Utopia Sponsor or Utopia Sponsorship line, subject to the written approval of the Company, which may be withheld in its sole discretion, subject to the following conditions:
a) If the transferring Utopia Partner is within the same Sponsorship group, notarized signatures are required from all Utopia Partners that are or may be impacted by the move;
b) If the transferring Utopia Partner is outside the same Sponsorship group, a notarized statement signed by all affected up-lineUtopia Partners shall be submitted reflecting that each affected party understands and consents to the transfer. Any request for transfer of Utopia Sponsorship shall be first submitted to the Company in writing explaining the reason for the request of transfer;
c) A non refundable $150.00 transfer fee shall be paid to the Company;
d) A written request for transfer explaining the exact reason for therequested transfer shall be submitted to the Company; and
e) The final approval of the Company, if granted, will apply only to the Utopia Partner making the request and not Utopia Partner’s down-line organization. The Utopia Partner shall comply with the requirements of section 5.03.
Transfer of Sponsorship. During the course of this agreement, the Sponsor may transfer its rights and obligations as Sponsor to a company formed by the Sponsor and in which the Sponsor has at least 40% ownership at the time of transfer, or another percent ownership interest agreed upon in writing by the Parties. Sponsor will notify the University and Principal Investigator in writing prior to any such transfer.
