Transfer of Vehicles. RPTA shall not transfer, lease, or otherwise dispose of the Tempe Bus Fleet vehicles during the term of this Agreement without the written approval of Tempe.

The Company covenants and agrees to, as soon as legally possible after the Closing, effect the change of title owner for the vehicles listed on Schedule 7.3 from the individuals listed as title owners on Schedule 7.3 to Tianjin Shengkai Industrial Technology Development Co., Ltd.

The Vehicle Purchase Price shall be paid, and title shall be transferred, through the Hertz Dealer Direct™ platform (“Dealer Direct”) and subject to the Dealer Direct terms and conditions subject to the Dealer Direct terms and conditions; provided that any requirement in such terms and conditions that Buyer have or submit an automobile dealer's license will be deemed inapplicable to the sale of Vehicles contemplated, and Buyer and Seller will cooperate in reducing the applicability of any sales tax to such sale.
Transfer of Vehicles. Seller shall transfer all of Seller's right, title and interest in and to any and all owned Vehicles by xxxx of sale and endorsed certificate or registration of title documents (collectively, the "Vehicle Transfer Documents"), free and clear of all security interests, liens, claims or encumbrances.

Transfer of Vehicles. Notwithstanding anything in the Asset Purchase Agreement to the contrary, Buyers and Sellers hereby agree that all vehicles used or held for use in the Business by either MPI or EPI shall constitute part of the MPI Transferred Assets.
