Transfer of Vehicles. RPTA shall not transfer, lease, or otherwise dispose of the Tempe Bus Fleet vehicles during the term of this Agreement without the written approval of Tempe.
Transfer of Vehicles. The Company covenants and agrees to, as soon as legally possible after the First Closing, effect the change of title owner for the vehicles listed on Schedule 7.3 from the individuals listed as title owners on Schedule 7.3 to Tianjin Shengkai Industrial Technology Development Co., Ltd.

Seller acknowledges and agrees that it shall be responsible for all Taxes, costs and expenses reasonably incurred by Parent, Acquisition Company or the Company in connection with such transfer and shall pay all such amounts prior to the Vehicle Transfer; provided, however, that to the extent that any such Taxes, costs or expenses arise after the Vehicle Transfer, Seller shall promptly pay such amounts upon the written request of Parent. The Seller shall cause and ensure that the Company does not renew the insurance policy covering the Vehicle (Policy No. 648657249 with Allstate Insurance), which policy terminates on June 5, 2014.
Transfer of Vehicles. The Selxxxx xxx xhe Company hereby acknowledge and agree that the Company will transfer the vehicles listed on the Disclosure Schedule to the Sellers prior to the Pricing Date and that Sellers will, at the time of such transfer, assume all outstanding liabilities of the Company in connection with such vehicles.

Seller shall transfer all of Seller's right, title and interest in and to any and all owned Vehicles by xxxx of sale and endorsed certificate or registration of title documents (collectively, the "Vehicle Transfer Documents"), free and clear of all security interests, liens, claims or encumbrances.
