Transfer of Vehicles. RPTA shall not transfer, lease, or otherwise dispose of the Tempe Bus Fleet vehicles during the term of this Agreement without the written approval of Tempe.

All Vehicles shall at the time of sale be without material frame, structural, fire or flood damage (visible or otherwise), shall have mileage therein not to exceed the sum of the mileage listed for such Vehicle, as updated per Section 17(a), plus 2,000 miles, shall be in reasonable condition (subject to normal, cosmetic wear and tear for a vehicle of similar mileage), and shall be free from any outstanding recall orders (other than recall orders where there is a declared fix). Buyer shall have the right to reject and not purchase any Vehicles presented by Seller that do not meet the standards related to mileage or outstanding recall orders. Further, all Vehicles shall have (i) a minimum of 4/32 tread depth for each tire (measured in at least two separate locations on the applicable tire) and (ii) no windshield star-shaped cracks in the driver’s field of view. Seller agrees to provide Buyer with a credit to the Purchase Price for (i) and (ii) if Buyer provides Seller with documentation within five (5) Business Days after the Closing or, for Vehicles under an Open Rental Agreement, within five (5) Business Days after the Vehicle is returned to a Location. Any credit for (i) shall be based on Seller’s historical cost to replace a similar tire. Any credit for (ii) shall be at Seller’s wholesale rate for such replacement. Transfer of Vehicles. After the Closing, Seller and the Company will take all reasonable steps to transfer title of the Vehicle from the Company to Seller (the “Vehicle Transfer”). Seller acknowledges and agrees that it shall be responsible for all Taxes, costs and expenses reasonably incurred by Parent, Acquisition Company or the Company in connection with such transfer and shall pay all such amounts prior to the Vehicle Transfer; provided, however, that to the extent that any such Taxes, costs or expenses arise after the Vehicle Transfer, Seller shall promptly pay such amounts upon the written request of Parent. The Seller shall cause and ensure that the Company does not renew the insurance policy covering the Vehicle (Policy No. 648657249 with Allstate Insurance), which policy terminates on June 5, 2014.

The School Board does not assume, or authorize any person to assume on behalf of the School Board, any liability in connection with the sale of the Vehicles.
