Transponder Agreement. The Transponder Agreement shall be in full force and effect and GE American Communications, Inc. shall have granted its Consent to the assignment of the Transponder Agreement to PCC or the Designated Affiliate, if applicable, pursuant to this Agreement and shall have executed and delivered an estoppel certificate with respect to the Transponder Agreement in form and substance reasonably satisfactory to PCC. Notwithstanding the foregoing, the Consent of GE American Communications, Inc. to the assignment of the Transponder Agreement to the Designated Affiliate, rather than to PCC, shall not be a condition to PCC's obligations at the Closing unless PCC notifies LCI of its designation of the Designated Affiliate on or before June 23, 1997.

Scripps shall be required to exercise this option to extend the Sublease Agreement no later than 60-days in advance of the current termination date of the Sublease Agreement, March 8, 1999. The Belo Entities shall also ensure that the Sublease Agreement is amended to state that Providence Journal Company will not amend the Transponder Lease Agreement without the prior written consent of Scripps (such consent not to be unreasonably withheld).

  • Customer Agreement In the event of a conflict between this Agreement and any other agreement between the Bank and the Customer relating to the Account, the terms of this Agreement will prevail, and in all other respects the terms of the other agreement relating to the Account shall apply with respect to any matters not covered by this Agreement. Student Data includes Meta Data. Student Data further includes “Personally Identifiable Information (PII),” as defined in 34 C.F.R. § 99.3 and as defined under any applicable state law. Student Data shall constitute Education Records for the purposes of this DPA, and for the purposes of federal, state, and local laws and regulations. Student Data as specified in Exhibit “B” is confirmed to be collected or processed by the Provider pursuant to the Services. Student Data shall not constitute that information that has been anonymized or De-Identified, or anonymous usage data regarding a student’s use of Provider’s services.
