TRANSPONDER FAILURE, PROTECTION. 5.1 Confirmed Outage. There shall be deemed to have occurred a "Confirmed Outage" of a Buyer's Transponder if a Buyer's Transponder fails to meet the Performance Specifications for a continuing and uninterrupted period of [*********] (or, if [***] is [***] a [***] period of [*********] or [***] during any [*********] and such failure is confirmed by PanAmSat. Any "Warranty Credit" (as defined below) shall be measured in accordance with the procedures set forth in Section 5.2.
TRANSPONDER FAILURE, PROTECTION. 3.1 Performance Specifications. IFE MAKES NO WARRANTY WHATSOEVER TO FOX, -------------------------- WHETHER STATUTORY, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THOSE OF MERCHANTABILITY AND FITNESS FOR ANY PARTICULAR PURPOSE, WITH RESPECT TO ANY GOODS, SERVICES OR EQUIPMENT PROVIDED HEREUNDER, INCLUDING, WITHOUT LIMITATION, WITH RESPECT TO WHETHER THE TRANSPONDER MEETS OR WILL MEET THE TRANSPONDER PERFORMANCE SPECIFICATIONS SET FORTH IN ATTACHMENT A TO THE IFE/GE AGREEMENT. In the event, however, that the Transponder fails to meet such Transponder Performance Specifications, IFE shall seek to enforce any warranty or remedy that IFE may have with respect to the Transponder pursuant to the IFE/GE Agreement, including, without limitation, enforcing any rights reasonably believed by Fox (as detailed in a written notice to IFE) to be possessed by IFE pursuant to said agreement, and shall provide to Fox the benefit of any remedy actually provided to IFE by GE. IFE shall exert the same effort on Fox's behalf as it would exert on its own behalf in pursuing its own rights and remedies under the IFE/GE Agreement, and in no event less than those efforts that would be considered standard industry practice. Fox shall reasonably cooperate with and aid IFE in enforcing any such warranty or remedy, and in taking any action that IFE is required or reasonably elects to take, pursuant to the IFE/GE Agreement, to rectify such failure, including, without limitation, increasing the power and/or changing other parameters of Fox's transmission to the Satellite, or discontinuing or suspending Fox's use of the Transponder Capacity, to the extent that any such action is required by GE.

  • Power Failure Power Failure means the failure of power or other utility service if the failure takes place off the "residence premises". But if the failure results in a loss, from a Peril Insured Against on the "residence premises", we will pay for the loss caused by that peril.

  • Equipment Failures In the event of equipment failures beyond the Administrator's control, the Administrator shall take reasonable and prompt steps to minimize service interruptions but shall have no liability with respect thereto. The Administrator shall develop and maintain a plan for recovery from equipment failures which may include contractual arrangements with appropriate parties making reasonable provision for emergency use of electronic data processing equipment to the extent appropriate equipment is available.

  • Transponders a. You agree to obtain a sticker Transponder for each vehicle registered to your Account. b. OCTA agrees to provide you one sticker Transponder for each vehicle registered to your account at no charge. c. To obtain carpool discounts you must purchase a FasTrak Flex Transponder. d. You agree to set the self-declaration switch on your FasTrak Flex Transponder in accordance with applicable laws, regulations, ordinances and policies prior to traveling on the 405 Express Lanes. e. If your FasTrak Flex Transponder fails to operate for reasons other than abuse or improper use, return it to us and we’ll replace it at no charge within five years of purchase of the FasTrak Flex Transponder. All other FasTrak Flex Transponder replacements or additional Transponder(s) will result in $15 for each FasTrak Flex Transponder. You agree to mount your Transponder according to the instructions provided to you and to ensure that your Transponder is in good working order. f. Sticker Transponders will be replaced at no additional charge. You acknowledge that sticker Transponders can only be used on one vehicle and that removing the Transponder will damage it and require you to obtain a new Transponder. g. If you drive on the 405 Express Lanes without a properly mounted Transponder in good working order or your Transponder is not read for any other reason, we may use an image of your license plate number to bill your Account. You agree to pay an administrative fee of $2 per image-based transaction in addition to the toll. If the license plate number is not active on your Account at the time of travel, or if your Account is not in good standing, you may receive a toll evasion violation or a citation by the CHP. You agree that we may charge you an additional processing fee. h. If you sell a vehicle or if your Transponder is lost or stolen, notify us immediately and you will not be liable for any unauthorized use of your Transponder that occurs after such notification.

  • Force Majeure Delays In any case where either party hereto is required to do any act (other than the payment of money), delays caused by or resulting from Acts of God or Nature, war, civil commotion, fire, flood or other casualty, labor difficulties, shortages of labor or materials or equipment, government regulations, delay by government or regulatory agencies with respect to approval or permit process, unusually severe weather, or other causes beyond such party’s reasonable control the time during which act shall be completed, shall be deemed to be extended by the period of such delay, whether such time be designated by a fixed date, a fixed time or “a reasonable time.”

  • Borrower’s Failure to Notify Any outstanding Borrowing of Domestic Rate Loans shall, subject to Section 6.2 hereof, automatically be continued for an additional Interest Period on the last day of its then current Interest Period unless the Borrower has notified the Administrative Agent within the period required by Section 1.6(a) hereof that it intends to convert such Borrowing into a Borrowing of Eurocurrency Loans or notifies the Administrative Agent within the period required by Section 1.9(a) hereof that it intends to prepay such Borrowing. If the Borrower fails to give notice pursuant to Section 1.6(a) hereof of the continuation or conversion of any outstanding principal amount of a Borrowing of Eurocurrency Loans denominated in U.S. Dollars before the last day of its then current Interest Period within the period required by Section 1.6(a) hereof and has not notified the Administrative Agent within the period required by Section 1.9(a) hereof that it intends to prepay such Borrowing, such Borrowing shall automatically be converted into a Borrowing of Domestic Rate Loans, subject to Section 6.2 hereof. If the Borrower fails to give notice pursuant to Section 1.6(a) above of the continuation of any outstanding principal amount of a Borrowing of Eurocurrency Loans denominated in an Alternative Currency before the last day of its then current Interest Period within the period required by Section 1.6(a) hereof and has not notified the Administrative Agent within the period required by Section 1.9(a) hereof that it intends to prepay such Borrowing, such Borrowing shall automatically be continued as a Borrowing of Eurocurrency Loans in the same Alternative Currency with an Interest Period of one month, subject to Section 6.2 hereof, including the application of Section 1.4 hereof and of the restrictions contained in the definition of Interest Period.

  • CLEC OUTAGE For a problem limited to one CLEC (or a building with multiple CLECs), BellSouth has several options available for restoring service quickly. For those CLECs that have agreements with other CLECs, BellSouth can immediately start directing traffic to a provisional CLEC for completion. This alternative is dependent upon BellSouth having concurrence from the affected CLECs. Whether or not the affected CLECs have requested a traffic transfer to another CLEC will not impact BellSouth's resolve to re-establish traffic to the original destination as quickly as possible.

  • Epidemic Failure “Epidemic Failure” for any particular Product shall mean a failure resulting from defects in material, workmanship, and manufacturing process, including but not limited to the use of Components with known defects. The Epidemic Failure clause shall be invoked [***]. The failure rate may be calculated [***], as determined by BUYER. Epidemic failures do not supersede the requirements of any expressed or implied warranty defined herein. In the case of an epidemic failure, SUPPLIER’s obligation is to propose an action plan to fix the failure of any affected Product within seventy-two (72) hours of discovery. SUPPLIER shall implement this action plan upon BUYER’s acceptance thereof. If the action plan is not acceptable to BUYER, BUYER can require SUPPLIER to repair or replace, at BUYER’s option, the affected Product. In addition to bearing the costs associated therewith, if requested by BUYER, SUPPLIER shall support and provide at SUPPLIER’s expense a sufficient number of units of the Product to permit the field exchange or “hot swap” of Products at customer sites. The parties agree to make all reasonable efforts to complete the repair or replacement of all affected Products within eight (8) Business Days after written notice of epidemic failure by BUYER to SUPPLIER. SUPPLIER also agrees that BUYER will be supported with accelerated shipments of replacement Product to cover BUYER’s supply requirements. If an Epidemic Failure is caused by (i) a design, including a BUYER-provided test process, as required by the Specifications or (ii) a failure by a Component required by the Specifications, (iii) misuse or damage during transit or damage by a third party at no fault of SUPPLIER, SUPPLIER shall perform the obligations in this Section 10.5 and BUYER shall pay to SUPPLIER the fees mutually agreed upon by the parties in writing. If an Epidemic Failure is caused by any other reason other than as set forth in the immediately preceding sentence, SUPPLIER shall perform the obligations set forth in this Section free of charge. Confidential treatment is being requested for portions of this document. This copy of the document filed as an exhibit omits the confidential information subject to the confidentiality request. Omissions are designated by the symbol [***]. A complete version of this document has been filed separately with the Securities and Exchange Commission.

  • Lenders’ Failure to Perform All Advances (other than Swing Loans and Agent Advances) shall be made by the Lenders contemporaneously and in accordance with their Pro Rata Shares. It is understood that (i) no Lender shall be responsible for any failure by any other Lender to perform its obligation to make any Advance (or other extension of credit) hereunder, nor shall any Commitment of any Lender be increased or decreased as a result of any failure by any other Lender to perform its obligations hereunder, and (ii) no failure by any Lender to perform its obligations hereunder shall excuse any other Lender from its obligations hereunder.

  • Outages 9.7.1.1 Outage Authority and Coordination. Interconnection Customer and Transmission Owner may each in accordance with Good Utility Practice in coordination with the other Party and Transmission Provider remove from service any of its respective Interconnection Facilities, System Protection Facilities, Network Upgrades, System Protection Facilities or Distribution Upgrades that may impact the other Party’s facilities as necessary to perform maintenance or testing or to install or replace equipment. Absent an Emergency Condition, the Party scheduling a removal of such facility(ies) from service will use Reasonable Efforts to notify one another and schedule such removal on a date and time mutually acceptable to the Parties. In all circumstances, any Party planning to remove such facility(ies) from service shall use Reasonable Efforts to minimize the effect on the other Parties of such removal.

  • Service Level In the event that League InfoSight discovers or is notified by you of the existence of Non-Scheduled Downtime, we will use commercially reasonable efforts to determine the source of the problem and attempt to resolve it as quickly as possible.
