UNAUTHORIZED OVERDRAFTS Sample Clauses

UNAUTHORIZED OVERDRAFTS. Unless you have authorized overdraft privileges, overdrafts are not permitted on any of the Accounts. You will not conduct or try to conduct any Transaction that would result in an unauthorized overdraft or increase to an unauthorized overdraft. If any of your Accounts go into an unauthorized overdraft, you agree to pay BlueShore Financial interest on the Overdraft Amount at the higher rate of 24% per annum compounded monthly (an effective annual rate of 26.82%) or BlueShore Financial prime, plus 5%, per year, compounded monthly, up to the maximum effective annual interest rate permissible by law. We may in our discretion, process a Transaction and charge Service Charges to the Accounts, even if an unauthorized overdraft is created or increased. If we do so, it will not constitute permission by us for you to maintain or have future unauthorized overdrafts on the Accounts. You agree to pay to BlueShore Financial the Overdraft Amount. Overdraft Amounts are immediately due and payable to us without need for demand, however, you must pay such Overdraft Amount to us immediately if we make demand for payment. In the event of an Overdraft Amount on any of the Accounts, BlueShore Financial may, in its discretion: (a) setoff the amounts on deposit or as later deposited to the credit of any of the Accounts against the Overdraft Amount without prior notice to you; and/or (b) if the Overdraft Amount is not paid immediately on demand, treat your failure to re-establish or maintain a credit balance in the Accounts, or any of them, as a request by you to withdraw from the membership of BlueShore Financial, in which case: i. your Agreement to this term may be relied upon by us as your written request to withdraw from the membership of BlueShore Financial; and ii. BlueShore Financial may close Accounts, redeem or purchase, in its discretion, your membership shares, and setoff any amounts on deposit to the credit of any Accounts, the liquidated amount in your membership share Account, and any declared but unpaid dividends on your membership shares, against the Overdraft Amount and other amounts you owe to BlueShore Financial; and/or iii. treat the Overdraft Amount, or the amount of it that remains after we exercise our setoff rights, as a demand loan in the Overdraft Amount, bearing interest at the rates payable on an Overdraft Amount stipulated above.

UNAUTHORIZED OVERDRAFTS. Customer shall not initiate any Customer Transaction requests under this Agreement that would create an unauthorized overdraft in any Customer Accounts. Customer acknowledges and agrees that CIBC FirstCaribbean is under no obligation to and may, in its sole discretion, decline to act upon or to complete, and may, in its sole discretion, reverse, any Customer Transaction request which causes or, in CIBC FirstCaribbean's opinion, could cause any Customer Accounts and/or Payee Accounts to be overdrawn in any unauthorized amount.

  • Unauthorized Access Using service to access, or to attempt to access without authority, the accounts of others, or to penetrate, or attempt to penetrate, security measures of Company’s or a third party’s computer software or hardware, electronic communications system, or telecommunications system, whether or not the intrusion results in disruption of service or the corruption or loss of data.

  • Unauthorized Work The contractor is not authorized at any time to commence task order performance prior to issuance of a signed TO or other written approval provided by the CO to begin work.

  • Unauthorized Leave Leave other than that provided for in this section may be cause for disciplinary action.

  • Unauthorized Use The Participating Institutions, or the Authorized Users shall not knowingly permit anyone other than the Authorized Users to access the Licensed Materials.

  • Unauthorised use We shall not be liable for any loss, liability or cost whatsoever arising from any unauthorised use of the Electronic Service. You shall on demand indemnify, protect and hold us harmless from and against all losses, liabilities, judgements, suits, actions, proceedings, claims, damages and costs resulting from or arising out of any act or omission by any person using an Electronic Service by using your designated passwords, whether or not you authorised such use.

  • Unauthorized Settlements To indemnify the Indemnitee hereunder for any amounts paid in settlement of a proceeding unless the Company consents in advance in writing to such settlement, which consent shall not be unreasonably withheld; or

  • Authorized Instructions The Custodian shall be entitled to rely upon any Oral Instructions or Instructions actually received by the Custodian and reasonably believed in good faith by the Custodian to be from an Authorized Person (“Authorized Instructions”). Notwithstanding any other provision included in this Agreement, Written Instructions relating to the disbursement of moneys of the Fund other than in connection with the purchase, sale or settlement of Securities, shall be in the form of a Certificate. The Fund agrees that an Authorized Person shall forward to the Custodian Instructions confirming Oral Instructions by the close of business of the same day that such Oral Instructions are given to the Custodian. The Fund agrees that the fact Instructions confirming Oral Instructions are not received or that contrary Instructions are received by the Custodian after the Custodian has effected such Oral Instructions shall in no way affect the validity or enforceability of transactions authorized by such Oral Instructions and effected by the Custodian.

  • Unauthorized Aliens Consultant hereby promises and agrees to comply with all the provisions of the Federal Immigration and Nationality Act, 8 U.S.C.A. § 1101, et seq., as amended, and in connection therewith, shall not employ unauthorized aliens as defined therein. Should Consultant so employ such unauthorized aliens for performance of work and/or services covered by this Agreement, and should any liability or sanctions be imposed against City for such use of unauthorized aliens, Consultant hereby agrees to and shall reimburse City for the cost of all such liabilities or sanctions imposed, together with any and all costs, including attorneys’ fees, incurred by City.

  • No Unauthorized Use Provider shall not use Student Data or information in a Pupil Record for any purpose other than as explicitly specified in this DPA.

  • Line Information Database (LIDB 9.1 BellSouth will store in its Line Information Database (LIDB) records relating to service only in the BellSouth region. The LIDB Storage Agreement is included in this Attachment as Exhibit C. 9.2 BellSouth will provide LIDB Storage upon written request to <<customer_name>>’s Account Manager stating a requested activation date.
