Authorized Instructions definition

Authorized Instructions shall have the meaning set forth in Section 1.5.
Authorized Instructions of the Customer shall mean instructions received by telecopy, tested telex, electronic link or other electronic means or by such other means as may be agreed in writing in advance between the Customer and the Custodian. The Custodian shall be entitled to act, and shall have no liability for acting, in accordance with the terms of this Agreement or upon any instructions, notice, request, consent, certificate or other instrument or paper believed by it to be genuine and to have been properly executed by one or more persons which the Customer has previously identified to the Custodian as authorized to act on the Customer's behalf.
Authorized Instructions means instructions, directions or other communications given to Northern pursuant to the terms of this Agreement in respect of any of the matters referred to in this Agreement. In instances indicated in advance by the Fund, Northern may also act pursuant to telephonic instructions given by designated persons and such telephonic instructions shall be deemed to be “Authorized Instructions” within the meaning of this definition. Any instructions, directions or other communications given to Northern by telephone shall promptly thereafter be confirmed in writing, but Northern will incur no liability for the Fund’s failure, or the failure of an investment manager, to send such written confirmation or for the failure of any such written confirmation to conform to the telephonic instruction received by Northern.

  • Without limiting Section 14 below, accessing liquidity or managing risk may require the sharing of details of Authorized Instructions (which may include Confidential Information as defined below), internally and with RBCIS Affiliates, in order to establish the price of a FX Transaction or for the purposes of managing the risk of such FX Transaction and, by entering into this Agreement, the Customer hereby consents to RBCIS sharing such information as aforesaid.

Authorized Instructions of the Client means instructions from an Authorized Person received by telecopy, tested telex, electronic link or other electronic means or by such other means as may be agreed in writing between the Client and the Custodian.
Authorized Instructions means a communication received by an Account Bank in writing or by electronic transfer containing all the information required by such Account Bank to enable it to carry out the instructions, and bearing a signature that such Account Bank assumes in good faith to have been issued by or on behalf of an Account Holder or a Servicer or the Issuer Administrator or a FleetCo Administrator or its delegate or, following the issue of an Issuer Enforcement Notice or an Issuer Administrator Termination Notice or a FleetCo Administrator Termination Notice and/or a FleetCo Enforcement Notice, in accordance with the relevant Account Bank Agreement by the relevant FleetCo Security Trustee or the Issuer Security Trustee (as applicable).
Authorized Instructions means all directions and instructions to Manager from any Authorized Person;
Authorized Instructions means a communication containing the information specified in this Article 5, given in writing by two Authorized Persons and received by the Custodian by facsimile transmission, telegram, teletype, cablegram or other teleprocess or electronic instruction system which the Custodian believes in good faith to have been given by the Fund or which are transmitted with proper testing or authentication pursuant to the terms and conditions specified in writing by the Custodian.
Authorized Instructions means (i) all directions to the Trustee from an Authorized Party pursuant to the terms of this Agreement; (ii) all directions by or on behalf of ZionSolutions to the Trustee in its corporate capacity (or any of its affiliates) with respect to contracts for foreign exchange; (iii) all directions by or on behalf of ZionSolutions pursuant to an agreement with Trustee (or any of its affiliates) with respect to disbursement services or information or transactional services provided via a web site sponsored by the Trustee (or any of its affiliates) (e.g., the “Workbench web site”) and (iv) all directions by or on behalf of ZionSolutions pursuant to any other agreement or procedure between the Trustee (or any of its affiliates) and ZionSolutions, if such agreement or procedure specifically provides that authorized persons thereunder are deemed to be authorized to give instructions under this Agreement. Authorized Instructions shall be in writing, transmitted by first class mail, overnight delivery, private courier, facsimile, or shall be an electronic transmission subject to the Trustee’s policies and procedures, other institutional delivery systems or trade matching utilities as directed by an Authorized Party and supported by the Trustee, or other methods agreed upon in writing by ZionSolutions and the Trustee. The Trustee may, in its discretion, accept oral directions and may require confirmation in writing. However, where the Trustee acts on an oral direction prior to receipt of a written confirmation, the Trustee shall not be liable if a subsequent written confirmation fails to conform to the oral direction.
Authorized Instructions means a writing directed to the Custodian and signed by an Authorized Party. Each such writing shall set forth or evidence the specific transaction or type of transaction involved. Client or the Investment Manager may deliver Authorized Instructions by facsimile transmission, electronic transmission subject to the Custodian's practices, which practices shall be acceptable to Client and agreed to in writing by the Client or the Investment Manager, or any other method specifically agreed to in writing by the Client or the Investment Manager and the Custodian. In addition, the Custodian may, in its discretion, and subject to the procedures below, accept oral Authorized Instructions ("Oral Instructions"). If the Custodian adheres to the security procedures set out below or elsewhere as agreed to in writing by the Client or the Investment Manager, the Custodian shall be fully protected in acting in accordance with all Authorized Instructions that it reasonably believes to have been given by an Authorized Party using the means described in such security procedures or in failing to act in the absence thereof. Notwithstanding anything herein to the contrary, Custodian shall comply with the following security procedures.
