Unauthorized Transfers Void. Any Transfer or purported Transfer in violation of the provisions of this Article VIII shall be null and void ab initio and shall constitute a material breach of this Agreement. In the event of any Transfer or purported Transfer of all or any part of a Member’s Membership Interest in violation of this Agreement, without limiting any other rights or remedies of the Company or the other Members, the assignee or purported assignee shall have no right to participate in the management of the business and affairs of the Company or to become a Member, or to receive any distributions of any kind or to receive any part of the share of profits or other compensation by way of income and the return of contributions, or any allocation of income, gain, loss, deduction, credit or other items to the owner of such Membership Interest in the Company would otherwise be entitled.
Unauthorized Transfers Void. Any sale or transfer, or purported sale or transfer, of the Common Stock subject to this Agreement shall be null and void unless the terms, conditions and provisions of this Section 4 are strictly complied with.
Unauthorized Transfers Void. Any sale, assignment, mortgage or transfer of this Lease or subletting which does not comply with the provisions of this Paragraph 14 shall be void and, at the option of Landlord, shall terminate this Lease.

Any Transfer or purported Transfer of a Membership Interest that is not a Permitted Transfer shall be null and void ab initio and of no force or effect whatever; provided, however, that if the Company is required to recognize a Transfer that is not a Permitted Transfer (or if the Members elect to recognize a Transfer that is not a Permitted Transfer), the interest transferred shall be strictly limited to the transferor’s rights to allocations and distributions as provided by this Agreement with respect to the transferred Membership Interest, which allocations and distributions may be applied (without limiting any other legal or equitable rights of the Company) to satisfy any debts, obligations or liabilities for damages that the transferor or transferee of such Membership Interest may have to the Company. Notwithstanding anything in this Agreement to the contrary, neither such transferor nor such transferee shall have any right to vote on any matter presented for approval of the Members or the MMC, in each case as applicable, or to nominate any Member (or be nominated) to serve on the MMC.
Unauthorized Transfers Void. Any sale or transfer, or purported sale or transfer, of the Vested Shares of Common Stock subject to this Agreement shall be null and void unless the terms, conditions and provisions of this Section 5 are strictly complied with.
Unauthorized Transfers Void. Any attempt by a Member to Transfer any portion of his, her or its Interest except as specifically authorized by this Article 8 shall be void, ab initio. The transferee of any Transfer of an Interest that does not comply with the provisions of this Article 8 shall have no right to require any information or account of the Company's transactions, to inspect the Company's books and records, or to participate in any matter requiring the approval or disapproval of all or any of the Members. The Company shall not permit any Transfer of an Interest to be reflected in its books and records unless such Transfer has been made in accordance with the terms and conditions of this Article 8.
Unauthorized Transfers Void. Any Transfer or purported Transfer of a Unit that is not permitted under this Article 7 shall be null and void ab initio and of no force or effect whatever.
Unauthorized Transfers Void. Any attempt by a Member, directly or indirectly, to Transfer, or offer to Transfer, any Membership Interests or any interest therein or any rights relating thereto without complying with the provisions of this Article 15, will be void and of no effect. Any involuntary Transfer by operation of law will entitle the transferee to the economic interest represented by the Membership Interests that were the subject of the Transfer but the transferee will not be a Member and will not have any rights under this LLC Agreement.
Unauthorized Transfers Void. Any sale, assignment, mortgage or transfer of this Lease or subletting which does not comply with the provisions of this PARAGRAPH 14 shall be void and, at the option of Landlord, shall terminate this Lease (in accordance with Paragraphs 23 and 24).
Unauthorized Transfers Void. Any disposition of an Interest other than in --------------------------- accordance with the provisions of this Article 13 shall be void. If a Member assigns any of its Interest in Company without the prior consent of the other Member or otherwise in violation of this Section 13, the purported transferee shall have no rights hereunder, including any right to participate in the management of the business and affairs of Company or to become a Member, and the non-transferring Member shall have the right to purchase the entire interest of the transferring Member on the terms set forth in the Section 13.5.
