Updated Exhibits. The Parties agree that Exhibit A is intended to list all of the Leases and Lands which are intended to be included as part of the Assets to be conveyed to Buyer hereunder. In the event that between the date of the execution of this Agreement and Closing it is determined that there are Leases and Lands that have been inadvertently omitted from or incorrectly described on Exhibit A, Seller, with the consent of Buyer, which consent shall not be unreasonably withheld or delayed, shall be permitted to supplement Exhibit A until five (5) business days prior to the Closing Date to include those Leases and Lands which have been inadvertently omitted or incorrectly described.
Updated Exhibits. Borrower shall have delivered to Administrative Agent supplements to (a) Exhibit G-8 (Hazardous Substances) referencing the environmental reports in respect of such Subsequent Project that were delivered to Administrative Agent on behalf of the Banks pursuant to Section 3.3.14, (b) Exhibit D-6 reflecting the filings and recordings required to be made to perfect security interests in the Collateral in respect of such Subsequent Project, and (c) Exhibit K reflecting any additional or revised insurance policies or coverages required by the Insurance Consultant to account for such Subsequent Project, in each case reasonably satisfactory to the Technical Committee.
Updated Exhibits. All exhibits to this Agreement updated to a date no more than six (6) business days before the Closing Date.
Updated Exhibits. Have delivered to Purchaser Exhibit D, in a form acceptable to Purchaser, as updated by Seller on the date that is five (5) business days prior to the Effective Date (and delivered to Purchaser on or before the date that is two (2) business days prior to the Effective Date);
Updated Exhibits. Prior to Closing, Buyer shall have received from Seller complete and updated exhibits to this Agreement (i) that do not have a material adverse effect on the substance of the transaction contemplated by this Agreement and (ii) that, subject to (i) of this Section 7.6, are satisfactory to Buyer in its reasonable discretion.
Updated Exhibits. All of the Exhibits set forth in this Agreement shall be updated to reflect any changes from the Exhibits delivered as of the date of execution hereof and the Closing Date by the delivery of updated Exhibits at the Closing, with updated Exhibits subject to reasonable approval of the parties. Any liability, default, violation of law, damage or destruction identified in the updated Exhibits which has a material adverse effect upon the
Updated Exhibits. Borrower shall have delivered to Administrative Agent a supplement to Exhibit K reflecting any additional or revised insurance policies or coverages required by the Insurance Consultant to account for such Initial Project, in each case reasonably satisfactory to the Technical Committee.
Updated Exhibits. As a result of the modification of the date of Closing, it may become necessary, following the date of the Initial Closing, with respect to the Group 1 Sites and the date of the Subsequent Closings, with respect to the Group 2 Sites, for Seller to update Exhibits which are required to be delivered at Closing. The parties hereby agree to cooperate in the delivery and acceptance of such revised Exhibits following the Initial Closing and Subsequent Closings.
Updated Exhibits. In accordance with Section 7.10 of the Exchange Agreement, the Parties have agreed on and delivered to each other Party at the Closing the following updated exhibits, which shall hereby be deemed updated for all purposes under the Exchange Agreement: Exhibit A-1-DRI; Exhibit A-2-DRI; Exhibit B-1-DRI; Exhibit B-2-XTO Exhibit F-1; Exhibit F-4; and Schedule 2.2E-DRI.
Updated Exhibits. The Fabricator Agreement includes certain Exhibits A through E which will now be updated by the attached updated Exhibits A through E.
