Uptime Calculation. Provider and Customer agree to calculate availability of the Cloud Service as the total number of Available Minutes minus the number of Downtime Minutes, divided by the total number of Available Minutes, measured in a calendar month. If the Subscription Period includes a partial month, the numerator and denominator will only include the days that are part of the Subscription Period for that month.

Uptime Calculation. The uptime of the service shall be calculated on a monthly basis, using the following formula: (minutes a month) - (minutes downtime - exempt time) (minutes a month) Exempt time means downtime caused by issues out of Aritmas control and scheduled maintenance. The calculation of downtime will only apply for priority 1 issues.

  • DATA FOR CALCULATIONS The initial calculations for any payments owing under this Agreement shall be based upon the valuations placed upon the Qualified Property by the Appraisal District in its annual certified appraisal roll submitted to the District pursuant to § 26.01 of the TEXAS TAX CODE in or about July of each year of this Agreement.
