Usage Rights & Intellectual Property. 7.1. For the Term of Customer’s AERO Subscrip- tion and provided all fees relating to Customer’s AERO Subscription to the AERO Service have been paid, Xovis grants to the Customer a worldwide non-exclusive right to use the AERO Service through its own Tenant in the AERO Service Cloud solely for its and its Affiliates’ business pur- poses and as specified in the Service Description (“the Use Rights”). Customer’s Use Rights are limited to the service plans and license metric specified in the Subscription Order (which license metrics may be subject to adjust- ment during the Term) and are, unless specified otherwise herein non-transferable and may not be sublicensed or used for the benefit of third parties other than Customer’s Affiliates. 7.2. Customer and Customer’s Affiliates may exerci- se the Usage Rights through the Users. However, solely Customer is entitled to claim the contractual rights under Customer’s AERO Subscription.

Usage Rights & Intellectual Property. For the Term of Customer’s Subscription and provided all fees relating to Customer’s subscription to the Xovis Flow Service have been paid , Xovis grants to the Customer a worldwide non-exclusive right to use the Xovis Flow Service through its own Tenant Xovis Flow Service solely for its and its Affiliates’ business purposes and as specified in the Service Description (“the Use Rights”). Customer’s Use Rights are limited to the license metric specified in the Subscription Order (which license metrics may be subject to adjustment during the Term) and are, unless specified otherwise herein non-transferable and may not be sublicensed or used for the benefit of third parties other than Customer’s Affiliates. Customer and Customer’s Affiliates may exercise the Usage Rights through the Users. However, solely Customer is entitled to claim the contractual rights under Customer’s Subscription. Customer acknowledges and agrees that Xovis, its Affiliates and/or its third-party vendors shall own all right, title and interest in and to all intellectual property rights in the Xovis Flow Service, all related items and any suggestions, enhancement or feature requests, feedback, or recommendations provided by Customer or its Users relating to the Xovis Flow Service, including all unpatented inventions, patent applications, patents, design rights, copyrights, trademarks, service marks, trade names, know-how and other trade secret rights, and all other intellectual property rights, derivatives or improvements thereof. Customer does as consequence not acquire any rights in the Xovis Flow Service, express or implied, other than those expressly granted in Customer’s Subscription and all rights not expressly granted to Customer are reserved by Xovis and/or third-party vendors. Hence, Customer shall unless permitted by the Use Rights (a) not license, sell, rent, lease, transfer, assign, distribute, display, republish, host, outsource, disclose, copy, download or otherwise commercially exploit or make the Xovis Flow Service available to any third-party other than an authorized User; (b) not modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Xovis Flow Service, including without limitation the documentation that is provided as a part thereof, or access the Xovis Flow Service in order to build a similar or competitive product or service.

  • Intellectual Property/License 20.1 Any Intellectual Property originating from or developed by a Party shall remain in the exclusive ownership of that Party.

  • Intellectual Property Rights Infringement HP will defend and/or settle any claims against Customer that allege that an HP-branded product or service as supplied under this Agreement infringes the intellectual property rights of a third party. HP will rely on Customer’s prompt notification of the claim and cooperation with our defense. HP may modify the product or service so as to be non-infringing and materially equivalent, or we may procure a license. If these options are not available, we will refund to Customer the amount paid for the affected product in the first year or the depreciated value thereafter or, for support services, the balance of any pre-paid amount or, for professional services, the amount paid. HP is not responsible for claims resulting from any unauthorized use of the products or services. This section shall also apply to deliverables identified as such in the relevant Support Material except that HP is not responsible for claims resulting from deliverables content or design provided by Customer.

  • INTELLECTUAL PROPERTY RIGHTS - DATA RIGHTS A. Data produced under this Annex which is subject to paragraph C. of the Intellectual Property Rights - Data Rights Article of the Umbrella Agreement will be protected for the period of one year.

  • Intellectual Property The Company and the Subsidiaries have, or have rights to use, all patents, patent applications, trademarks, trademark applications, service marks, trade names, trade secrets, inventions, copyrights, licenses and other intellectual property rights and similar rights necessary or required for use in connection with their respective businesses as described in the SEC Reports and which the failure to so have could have a Material Adverse Effect (collectively, the “Intellectual Property Rights”). None of, and neither the Company nor any Subsidiary has received a notice (written or otherwise) that any of, the Intellectual Property Rights has expired, terminated or been abandoned, or is expected to expire or terminate or be abandoned, within two (2) years from the date of this Agreement. Neither the Company nor any Subsidiary has received, since the date of the latest audited financial statements included within the SEC Reports, a written notice of a claim or otherwise has any knowledge that the Intellectual Property Rights violate or infringe upon the rights of any Person, except as could not have or reasonably be expected to not have a Material Adverse Effect. To the knowledge of the Company, all such Intellectual Property Rights are enforceable and there is no existing infringement by another Person of any of the Intellectual Property Rights. The Company and its Subsidiaries have taken reasonable security measures to protect the secrecy, confidentiality and value of all of their intellectual properties, except where failure to do so could not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect.

  • Intellectual Property Warranty CONTRACTOR represents and warrants that its performance of all obligations under this Contract does not infringe in any way, directly or contributorily, upon any third party’s intellectual property rights, including, without limitation, patent, copyright, trademark, trade secret, right of publicity and proprietary information.

  • Intellectual Property Rights Assignment For no additional compensation, Contractor hereby assigns to City all of Contractor’s rights, title, and interest in and to the content of the Deliverable Materials created by Contractor or its employees, agents, or subcontractors, including copyrights, in connection with the services performed under this Contract. Contractor shall promptly execute and deliver, and shall cause its employees, agents, and subcontractors to promptly execute and deliver, upon request by the City or any of its successors or assigns at any time and without further compensation of any kind, any power of attorney, assignment, application for copyright, patent, trademark or other intellectual property right protection, or other papers or instruments which may be necessary or desirable to fully secure, perfect or otherwise protect to or for the City, its successors and assigns, all right, title and interest in and to the content of the Deliverable Materials.   • OWNERSHIP OF DELIVERABLES & INTELLECTUAL PROPERTY RIGHTS 5.1 Supplier hereby assigns and grants to Accenture all rights and licenses necessary for Accenture to access, use, transfer, and sell the Deliverables and to exercise the rights granted under the Agreement, and pass-through the same to its Affiliates and designated users, for the use and benefit of Accenture and in providing services to Accenture’s clients and business partners. Except with respect to any proprietary materials, programs, and documentation provided by Supplier or its suppliers and in existence prior to the services being performed under the Agreement (“Pre-Existing Materials”), all right, title and interest in the Deliverables, including all intellectual property rights, will be the exclusive property of Accenture, to the extent permitted by applicable law. Supplier hereby assigns to Accenture ownership of all right, title and interest in the Deliverables (excluding Pre-Existing Materials) and waives any moral rights therein.

  • Industrial or Intellectual Property Rights 9. (a) The Borrower shall ensure that all Goods and Works procured (including without limitation all computer hardware, software and systems, whether separately procured or incorporated within other goods and services procured) do not violate or infringe any industrial property or intellectual property right or claim of any third party.

  • Intellectual Property Ownership We, our affiliates and our licensors will own all right, title and interest in and to all Products. You will be and remain the owner of all rights, title and interest in and to Customer Content. Each party will own and retain all rights in its trademarks, logos and other brand elements (collectively, “Trademarks”). To the extent a party grants any rights or licenses to its Trademarks to the other party in connection with this Agreement, the other party’s use of such Trademarks will be subject to the reasonable trademark guidelines provided in writing by the party that owns the Trademarks.
