Use Permits and Other Approvals. Seller has obtained all licenses, permits, approvals, easements, and rights of way required from all governmental authorities having jurisdiction over the Properties or from private parties for the normal use and operation of the Properties and to ensure free and unimpeded vehicular and pedestrian ingress to and egress from the Properties as required to permit the normal intended usage of the Properties. Seller has materially complied with all licenses and permits and has not received any notice that any licenses or permits will not be renewed upon expiration, or of any material conditions which will be imposed in order to receive any renewal.

To the best of Seller's knowledge, without any duty to investigate, Seller has obtained all licenses, permits, approvals, easements and rights of way, including proof of dedication, required from all governmental authorities having jurisdiction over the Property or from private parties for the normal use and operation of the Property and to ensure free and unimpeded vehicular and pedestrian ingress to and egress from the Property as required to permit the normal intended usage of the Property by the tenants thereof, their invitees and customers.

SCHEDULE H (which shall be supplemented as new such matters are obtained) accurately sets forth all governmental and regulatory licenses, franchises and permits respecting the Property.

No violations have been recorded in respect of any such licenses, permits or approvals and no proceeding is pending or, to the knowledge of Transferor or Tenant, threatened to revoke or limit any of such licenses, permits, approvals, easements or rights of way. Transferor or Tenant, as applicable, is in compliance with the terms of all such licenses, permits and approvals applicable to it.

To Seller’s Knowledge, Seller has obtained all licenses, permits, approvals, easements and rights of way required from all governmental authorities having jurisdiction over the Property or from private parties for the current use and operation of the Property and to ensure free and unimpeded vehicular and pedestrian ingress to and egress from the Property as required to permit the normal intended usage of the Property. To Seller’s Knowledge, Seller has complied with all licenses and permits, including, without limitation, wastewater discharge permits and air permits, and has no knowledge, nor received any notice, that any licenses or permits will not be renewed upon expiration, or of any material conditions which will be imposed in order to receive any renewal.

The Sellers have obtained all licenses, permits, approvals, easements and rights of way required from all governmental authorities having jurisdiction over the Included Real Property or from private parties for the normal use and operation of the Included Real Property to ensure free and unimpeded vehicular and pedestrian ingress to and egress from the Included Real Property and as required to permit the normal intended usage of the Included Real Property by the tenants thereof, their invitees and customers. The Sellers have materially complied with all such licenses and permits and have not received any notice that any such licenses or permits will not be renewed upon expiration, or of any material conditions which will be imposed in order to receive any such renewal.
Use Permits and Other Approvals. To the extent held by Landlord as owner (as opposed to being held by Tenant, as exclusive occupant), all licenses, approvals, permits and certificates from governmental and quasi-governmental agencies or private parties necessary for the use and operation of the Property as are currently possessed by Seller. To the extent the Property has been used by Seller (as opposed to Tenant's exclusive use of the Building), the same has been used in accordance with (1) all such approvals, licenses, permits and certificates, (2) all governmental regulations, and (3) all covenants, conditions, restrictions, easements and agreements of any kind or nature affecting the Property.
