VENDOR'S ACCESS. As a condition to the reconveyance or surrender of any Impaired Parcel, Purchaser shall grant to the Vendor, for the benefit of the Vendor, and its successors and assigns, a charge-free license, easement or right of way on mutually acceptable terms and conditions over such portion of the Purchased Assets as may be required for the Vendor to gain free and adequate access to such Impaired Parcel from public roads. No such license, easement or right of way shall be required in the event that the Impaired Parcel already has adequate access from public roads. In connection with the reconveyance or surrender to the Vendor of any Impaired Parcel:

VENDOR'S ACCESS. In the event of an actual Claim, the Purchaser shall procure that the Vendor Representative and its Representatives are provided, upon reasonable notice and during Working Hours, with reasonable assistance, documentation, information and access to premises and personnel of the relevant Group Companies as they may reasonably require to investigate, avoid, remedy, dispute, resist, appeal, compromise or contest such Claim and shall permit the Vendor Representative and its Representatives to make copies of such documentation and information to the extent relevant to the Claim.
VENDOR'S ACCESS. In the event of a Claim, the Purchaser shall, subject to the Vendors giving such undertakings as to confidentiality as the Purchaser may reasonably require, procure that the Vendors and their respective Representatives are provided, upon reasonable notice and during Working Hours, access to such information, records, premises and personnel of the relevant member of the Purchaser Group as the Vendors may reasonably require (not being any which would otherwise be subject to legal privilege) to investigate, avoid, remedy, dispute, resist, appeal, compromise or contest such Claim.

  • LESSOR'S ACCESS Lessor and Lessor's agents shall have the right to enter the Premises at reasonable times for the purpose of inspecting the same, showing the same to prospective purchasers, lenders, or lessees, and making such alterations, repairs, improvements or additions to the Premises or to the building of which they are a part as Lessor may deem necessary or desirable. Lessor may at any time place on or about the Premises any ordinary "For Sale" signs and Lessor may at any time during the last 120 days of the term hereof place on or about the Premises any ordinary "For Lease" signs, all without rebate of rent or liability to Lessee.

  • Building Access The authorized representatives of the Union shall upon request have access to the District’s premises at any reasonable time for the purpose of adjusting grievances, investigating working conditions, or ascertaining that provisions of this Agreement are being adhered to; provided the representatives check in with the front office, following school protocol to receive a visitor’s badge, they do not interfere with employees in the performance of their duties. The computer and network card must have software installed that supports the Internet Protocol commonly referred to as TCP/IP. Any conflicts between the software compatibility of the network and the TENANT’S computer operating system or any other feature will be the responsibility of the TENANT to resolve. LANDLORD will not be responsible for software issues related to the user’s personal computer.

  • Site Access Dell requires the right to access the APEX System in a timely way and as provided in the Service Offering Description to provide the Support Services. Failure to ensure that Customer provides Dell with timely access to a Site will relieve Dell of the Support Services obligations and Dell may also, at Dell’s discretion, suspend the APEX Service.
