Waiver of Known Existing Defaults. Lender hereby waives enforcement of its rights against Borrower arising from the Known Existing Defaults; provided, however, nothing herein shall be deemed a waiver with respect to any failure of Borrower to comply fully with Sections 7.1, 9.6(a)(i), 9.6(a)(ii), 9.6(e) and 9.6(g), or any other provision, of the Loan Agreement (as amended or modified by this Amendment). This waiver shall be effective only for the specific defaults comprising the Know Existing Defaults, and in no event shall this waiver be deemed to be a waiver of enforcement of Lender's rights with respect to any other Defaults or Events of Default now existing or hereafter arising. Nothing contained in this Amendment nor any communications between Borrower and Lender shall be a waiver of any rights or remedies Lender has or may have against Borrower, except as specifically provided herein. Except as specifically provided herein, Lender hereby reserves and preserves all of its rights and remedies against Borrower under the Loan Agreement and the other Financing Agreements.

Waiver of Known Existing Defaults. Each of Agent and Co-Lender hereby waives enforcement of its rights against Borrower and Parent arising from the Known Existing Defaults; provided, however, nothing herein shall be deemed a waiver with respect to any failure of Borrower or Parent to comply fully with Section 9.17 of the Loan Agreement (Fixed Charge Coverage Ratio) as it pertains to periods ending after July 31, 2006, Section 9.18 thereof (Eligible Cash Collateral) as it pertains to dates on or after June 19, 2006, Section 9.19 thereof (Capital Expenditures) as it pertains to fiscal years ending after July 31, 2006, and the notice requirement contained in the latest paragraph of Section 5.1 thereof as it pertains to any customer other than those identified in Schedule 1 attached hereto. Subject to this Amendment becoming effective as set forth in Section 4 below, this waiver shall be deemed effective, as to each Known Existing Default, on the date of the first occurrence of such Known Existing Default. This waiver shall be effective only for the specific defaults comprising the Known Existing Defaults, and in no event shall this waiver be deemed to be a waiver of enforcement of Agent's or Co-Lender's rights with respect to any other Defaults or Events of Default now existing or hereafter arising. Nothing contained in this Amendment nor any communications between Borrower or Parent and Agent or Co-Lender shall be a waiver of any rights or remedies Agent or Co-Lender has or may have against Borrower or Parent, except as specifically provided herein. Waiver of Known Existing Defaults. (a) Subject to the satisfaction of the conditions precedent set forth in Section 6 below, the Agent and the Required Lenders hereby waive the Known Existing Defaults. For the avoidance of doubt, (i) the Lead Arranger acknowledges and agrees that the fees and disbursements of outside counsel to Agent and Lead Arranger in connection with the Credit Agreement and this Amendment paid by the Borrowers shall be added back to Consolidated Net Income when calculating Consolidated EBITDA, pursuant to and subject to the limits set forth in clause (b)(vii) of the definition of “Consolidated EBITDA” in Section 1.01 of the Credit Agreement, which fees and disbursements are hereby approved by the Lead Arranger, and (ii) a waiver under this Section 3 with respect to Capital Expenditures shall apply only to the testing period for the period ending December 31, 2016 and does not relieve or release the Borrowers from their obligation under Section 7.12 to maintain Capital Expenditures not exceeding the amounts set forth therein for any other testing period. (b) Subject to (i) the satisfaction of the conditions precedent set forth in Section 6 below, and (ii) the receipt of the Unpaid ECF Payment on or prior to the Unpaid ECF Payment Date, the Agent and the Required Lenders hereby waive the Unpaid ECF Default.
Waiver of Known Existing Defaults. Effective on the Fifth Amendment Effective Date (as defined below), the Required Lenders hereby waive any and all Events of Default or Unmatured Events of Default (including the Events of Default specified in the Notices sent by the Agent to the Company dated February 20, 2001 and March 7, 2001) known as the date hereof (the "Known Existing Defaults") through April 13, 2001 except that pricing shall remain at Base Rate. The Required Lenders hereby waive no Events of Default or Unmatured Events of Default other than the Known Existing Defaults. Moreover, the Agent and the Lenders waive none of, but instead expressly reserve any and all of, their claims, rights, powers and remedies under the Credit Agreement (as amended hereby), the other Loan Documents, and/or applicable law, including, without limitation, with respect to any Events of Default or Unmatured Events of Default other than the Known Existing Defaults.

  • Waiver of Event of Default The Majority Certificateholders may, on behalf of all Certificateholders, by notice in writing to the Trustee, direct the Trustee to waive any events permitting removal of any Master Servicer under this Agreement, provided, however, that the Majority Certificateholders may not waive an event that results in a failure to make any required distribution on a Certificate without the consent of the Holder of such Certificate.
