Independent contractor warrants and represents that all written work product created, including original photos and/or multi-media submitted to be published, is the original work of independent contractor, independent contractor has the authorization to grant the rights to the published piece, the published piece has not been the subject of a prior sale, publication or transfer of rights to any third-party, to the best of independent contractor’s knowledge the published piece does not contain libelous, obscene or illegal material, and publication of independent contractor’s piece will not infringe upon any third party’s rights. The work to be performed under this agreement will be performed entirely at independent contractor’s risk, and independent contractor agrees to indemnify and hold harmless the Company from any claim, demand, loss, liability, damage or expense arising in any way from independent contractor’s work. Independent contractor further represents that independent contractor will perform the services with reasonable diligence and in a professional and workmanlike manner, consistent with generally accepted standards and in compliance with any and all applicable laws, rules and regulations.

4.2 Party B hereby warrants to Party A that the records and information furnished to Party A in accordance to this agreement and hereafter are true, in effect and in compliance with applicable law.
4.3 Party B agrees that in the event any of Party B’s records and information furnished hereunder is false, ineffective or illegal, Party A shall have the right to terminate this agreement immediately and to reciver from Party B any resulting damages.

Producer warrant and represent that it owns all rights granted to Distributor under this Agreement, and that in the event of any suit or claim against Distributor based upon the claim that the videotape and print products, (Products) or any materials therein, infringe upon or violate any rights of any third parties, or upon a claim that Producer has granted any other parties any rights conflicting with the rights granted herein to Distributor, Producer agrees to hold Distributor harmless against any and all direct losses sustained by Distributor, including reasonable attorney fees.
