Withdrawal and Removal. Directors may resign at any time. A director appointed by Capital Z may be removed at any time for any reason or no reason upon the written direction of Capital Z, effective upon the delivery of such written direction by Capital Z. A director appointed by Corsair may be removed at any time for any reason or no reason upon the written direction of Corsair, effective upon the delivery of such written direction by Corsair. A director designated by Northwestern may be removed at any time for any reason or no reason upon the written direction of Northwestern. Upon any person’s ceasing to be the Chief Executive Officer of the Company, including but not limited to, as a result of the resignation, renewal or termination of such person, such person shall immediately be removed as a director. If any parties entitled to designate any directors request that any of their respective designees be removed as a director, each of the Stockholders shall vote all of his, her or its Company Securities that are entitled to vote or execute proxies or written consents, as the case may be, and take all other necessary action, to remove such designee. Each Stockholder agrees that it shall not vote any of its Company Securities in favor of, or take any other action related to, the removal of any director who shall have been designated pursuant to Section 2.01 unless the Person(s), if any, entitled to designate such director shall have consented to such removal in writing or unless requested by such Person(s) pursuant to this Section 2.02. If any party’s right to designate directors shall be reduced by one or more directors, such party shall promptly cause a number of directors designated by it equal to the number by which such right to designate was reduced to resign from the Board.

Withdrawal and Removal. 4.5.1 Withdrawal by a Party Any Party may, by not less than 6 months’ notice in writing to each other Party and the Secretariat, withdraw from this OA. Withdrawal from the Deed under clause 4.4 of the Deed has the effect of withdrawal by that Party from all OAs.

Withdrawal and Removal. A Participating Employer, by action of its governing body, may withdraw from the Plan at any time by initiating withdrawal by filing with the Administrator a resolution adopted by a Participating Employer no less than ninety (90) days prior to the effective date of the withdrawal, unless a shorter period is approved by the Governing Board (the effective date of such withdrawal being the “withdrawal date”), and will thereupon cease to be a Participating Employer for all purposes of the Plan. Withdrawal and Removal. Withdrawal from specific OA activities A Party is entitled under the GIA Deed (clause 6.2) to withdraw from any OA Activity. The withdrawing Party must be able to demonstrate that its reasons for withdrawing are made in good faith and allow the impact of the withdrawal on the remaining Parties to be assessed. If a Party wishes to withdraw, then: Withdrawal from an OA Activity or from a response does not necessarily result in withdrawal from the OA. Upon withdrawal the removed Party may continue to attend meetings in respect of that response or OA activity with the remaining Parties’ approval but will lose its readiness and/or response decision making rights (as may be applicable) in respect of those meetings. Clause 6.2.2 of the GIA Deed shall apply to the withdrawing Party. Where an Industry Party withdraws from an OA Activity MPI shall pay their cost share from that date. Withdrawal by a Party from the OA Any Party may, by not less than 6 months’ notice in writing to the other Parties and the GIA Secretariat, withdraw from this OA.

  • Legend Removal Certificates evidencing the Underlying Shares shall not contain any legend (“Unlegended Shares”) (including the legend set forth in Section 4.1(b) hereof): (i) while a registration statement covering the resale of such security is effective under the Securities Act, (ii) following any sale of such Underlying Shares pursuant to Rule 144, (iii) if such Underlying Shares are eligible for sale under Rule 144, without the requirement for the Company to be in compliance with the current public information required under Rule 144 as to such Underlying Shares and without volume or manner-of-sale restrictions or (iv) if such legend is not required under applicable requirements of the Securities Act (including judicial interpretations and pronouncements issued by the staff of the Commission). The Company shall cause its counsel to issue a legal opinion to the Transfer Agent during the time any of the aforedescribed conditions apply, to effect the removal of the legend hereunder. If all or any Notes are converted or any portion of a Warrant is exercised at a time when there is an effective registration statement to cover the resale of the corresponding Underlying Shares, or if such Underlying Shares may be sold under Rule 144 or if such legend is not otherwise required under applicable requirements of the Securities Act (including judicial interpretations and pronouncements issued by the staff of the Commission) then such Underlying Shares shall be issued free of all legends. The Company agrees that following such time as such legend is no longer required under this Section 4.1(d), it will, no later than five Trading Days following the delivery by the Purchaser to the Company or the Transfer Agent of a certificate representing Underlying Shares, as applicable, issued with a restrictive legend (such fifth Trading Day, the “Legend Removal Date”), deliver or cause to be delivered to such Purchaser a certificate representing such shares that is free from all restrictive and other legends (however, the Corporation shall use reasonable best efforts to deliver such shares within three (3) Trading Days). The Company may not make any notation on its records or give instructions to the Transfer Agent that enlarge the restrictions on transfer set forth in this Section 4.1. Certificates for Underlying Shares subject to legend removal hereunder shall be transmitted by the Transfer Agent to the Purchaser by crediting the account of the Purchaser’s prime broker with the Depository Trust Company System as directed by such Purchaser.

  • Appointment and Removal Officers shall be appointed by the Board of Directors. The Holders of Certificates evidencing in the aggregate not less than 51% of the Voting Interests represented by all Certificates (except that any Certificate registered in the name of the Seller, the Master Servicer or any affiliate thereof will not be taken into account in determining whether the requisite Voting Interests has been obtained) may at any time remove the Trustee and appoint a successor by written instrument or instruments, in triplicate, signed by such holders or their attorneys-in-fact duly authorized, one complete set of which instruments shall be delivered to the Master Servicer, one complete set of which shall be delivered to the entity or entities so removed and one complete set of which shall be delivered to the successor so appointed. Any resignation or removal of the Trustee and appointment of a successor pursuant to any of the provisions of this Section shall become effective upon acceptance of appointment by the successor as provided in Section 8.09.

The Holders of Certificates entitled to at least 51% of the Voting Rights may at any time remove the Trustee and appoint a successor trustee by written instrument or instruments, in triplicate, signed by such Holders or their attorneys-in-fact duly authorized, one complete set of which shall be delivered by the successor Trustee to the Master Servicer, one complete set to the Trustee so removed and one complete set to the successor so appointed. The successor trustee shall notify each Rating Agency of any removal of the Trustee. Any resignation or removal of the Trustee and appointment of a successor trustee pursuant to this Section 8.07 shall become effective upon acceptance of appointment by the successor trustee as provided in Section 8.08.

  • Resignation and Removal; Appointment of Successor Trustee (a) The Trustee, or any trustee or trustees hereafter appointed, may at any time resign with respect to one or more or all series of Securities by giving written notice of resignation to the Issuer and by mailing notice thereof by first class mail to Holders of the applicable series of Securities at their last addresses as they shall appear on the Security register. Such court may thereupon, after such notice, if any, as it may deem proper and prescribe, appoint a successor trustee.
