Worldline will. Only Process Personal Data in accordance with Merchant’s written instructions as issued from time to time; – Promptly inform Merchant, if in its opinion, Merchant’s instruction infringes on the Data Protection Legislation and request revised instructions; – Provide such reasonable assistance to Merchant as may be necessary to enable Merchant to fulfil its own compliance obligations under the Data Protection Legislation (e.g. DPIA, records of processing activities, prior consultation); – Maintain internal records of data Processing activities carried out on behalf of Merchant and provide copies of such activities upon Mer- chant’s request; – Not retain Personal Data for longer than is necessary and it will delete Personal Data upon Merchant’s specific request, unless the retention of the Personal Data is required by law. Worldline will facilitate this request within 30 calendar days; – Upon termination or expiration of the Agreement (whatever the cause may be), or upon a request to delete or return Personal Data to Mer- chant – except for any Personal Data which Worldline Processes as a Data Controller – at the choice of Merchant, delete, anonymise, or return (insofar this is technically possible) such Personal Data to Mer- chant, and delete or anonymise existing copies, unless any Applicable Law prevents it from returning or destroying all or part of the Personal Data or requires further storage of the Personal Data (in which case Worldline will protect the confidentiality of the Personal Data and will not Process the Personal Data anymore); – Without undue delay, when so required under the Data Protection Leg- islation either (i) provide Merchant with the ability to consult or correct Personal Data, or (ii) provide Merchant with a copy of the Personal Data that it Processes and make any corrections on Merchant’s behalf in accordance with its instructions; – Not disclose Personal Data to any third party, except (i) when Merchant directs Worldline to do so, (ii) if required by the Agreement (including Processing by Authorised Subcontractors), or (iii) if required by Appli- cable Law; – Ensure that persons acting on behalf of Worldline for the Processing of Personal Data will commit themselves to maintain the security and confidentiality of Personal Data in accordance with the provisions of the Agreement.
