PORTAL. At the Closing Time, the Securities shall have been designated for trading on PORTAL.
PORTAL. The Company will use its best efforts to cause such Notes to be eligible for the National Association of Securities Dealers, Inc. PORTAL market (the "PORTAL market").
PORTAL. The Company will use its reasonable best efforts to cause the Securities to be eligible for the National Association of Securities Dealers, Inc. PORTAL market (the “PORTAL market”).
PORTAL the online portal made available to Client and which, amongst other things, can be used to approve assignments and access time records.
PORTAL. The Company will use its best efforts to cause such Notes to be eligible for the National Association of Securities Dealers, Inc. PORTAL market (the “PORTAL market”). Banc of America Securities LLC, on behalf of the several Initial Purchasers, may, in its sole discretion, waive in writing the performance by the Company or Guarantors of any one or more of the foregoing covenants or extend the time for their performance.
PORTAL. At the Closing Time, the Notes shall have been designated for trading on PORTAL.
PORTAL. Through the Portal, Partner may have the ability to provision, suspend, restrict, or terminate access to the Portal or Service by Downstream Customers, as applicable. Partner is limited to provisioning one account per Downstream Customer unless otherwise provided by JumpCloud. Partner is responsible for maintaining the confidentiality of all its credentials (e.g., usernames and passwords). Partner agrees (a) not to allow a third party or unauthorized users to use its account, usernames, or passwords at any time, and (b) to notify JumpCloud promptly of any actual or reasonably suspected unauthorized use of or access to its account, usernames, or passwords, or any other breach or suspected breach of this Agreement of which it becomes aware. To the extent required by applicable law, Partner shall obtain consent from Downstream Customers for JumpCloud to process Personal Data under this Agreement. Partner’s use of the Portal and the Portal capabilities is entirely at Partner’s risk. JumpCloud expressly disclaims all liability arising from Partner’s use of the Portal.
PORTAL. The Notes shall have (A) been designated PORTAL securities in accordance with the rules and regulations adopted by the NASD relating to trading in the PORTAL market, and (B) received a rating of "B" and "B2" from Standard & Poor's Corporation and Moody's Investors Services, Inc., respectively.
PORTAL xxxxx://xxxxxxx.xxxxxx.xxx and each Technical Support Contact must register with the Customer Support Center on the portal, prior to submitting a ticket.
PORTAL. CPC, as an Administrative Agent, may, from time to time at its sole option, permit Resellers to access and use one or more internet web sites (the “Portal”) to obtain items or information and take other actions in connection with this Agreement, subject to the following:
A. Resellers shall access and use the Portal solely through duly authorized employees of a Reseller to whom CPC has issued a user name and password (an “Authorized Employee”);
B. submission of a user name and password to access and use the Portal, constitutes Resellers’, and the applicable Authorized Employee’s, representation that the person submitting such user name and password is the specific person identified by such user name and password and that such person is, at the time of such access and use, a Reseller’s employee duly authorized to act for and on behalf of a Reseller; and
C. CPC, as an Administrative Agent, may, from time to time at its sole option and without notice or liability:
1. amend the terms for use of the Portal by posting amended terms on the Portal (and such amended terms shall automatically be effective upon posting), and
2. suspend or revoke a Reseller’s and/or an Authorized Employee’s access to, and use of the Portal and/or modify, update or discontinue all or any portion of the Portal.
