Xx Assignment. Contractor shall not assign or transfer any of its rights or delegate its obligations under this Contract without Agency’s prior written consent.
Xx Assignment. Executive’s rights to receive benefits under this Agreement shall not be assignable or transferable whether by pledge, creation of a security interest or otherwise, other than a transfer by will or by the laws of descent or distribution. In the event of any attempted assignment or transfer contrary to this Section 13, the Employer shall have no liability to pay any amount so attempted to be assigned or transferred. This Agreement shall inure to the benefit of and be enforceable by Executive’s personal or legal representatives, executors, administrators, successors, heirs, distributees, devisees and legatees.
Xx Assignment. Neither Participant nor Consultant may assign or otherwise transfer any rights under this Agreement to any party without the prior written consent of MLS.
Xx Assignment. Executive represents and warrants to the Company Releasees that there has been no assignment or other transfer of any interest in any Claim that Executive may have against the Company Releasees. Executive agrees to indemnify and hold harmless the Company Releasees from any liability, claims, demands, damages, costs, expenses and attorneys’ fees incurred as a result of any such assignment or transfer from Executive.
Xx Assignment. Except as contemplated by Section 4 hereof, this option and the rights and privileges conferred hereby may not be transferred, assigned, pledged, hypothecated or encumbered, and shall not be subject to execution, attachment, garnishment or other similar legal processes. Upon any attempt to transfer, assign, pledge, hypothecate or otherwise encumber or dispose of this option, this option and the rights and privileges conferred hereunder shall immediately become null and void. This option may be exercised during the lifetime of the Executive only by the Executive; provided, however, that if the Executive is declared legally incompetent, the Executive's duly appointed legal representative may exercise the option hereunder in the manner and to the extent that the Executive is entitled to exercise the option hereunder.
Xx Assignment. No Party is entitled to assign or transfer (goederenrechtelijke xxxxxxx) all or part of its rights and/or obligations under this Agreement to any third Person, without the prior written consent of the other Party.
Xx Assignment. Xx Assignment. Neither this Agreement nor any of the rights and obligations hereunder may be assigned by the Company, the Distributor or the Trust without the prior written consent of the other parties.
Xx Assignment. This Agreement, and the rights and obligations of the parties, may not be assigned by either party without the prior written consent of the other party.
Xx Assignment. This Agreement shall be binding upon and inure to the benefit of the Parties. Further, (a) the Company may assign or transfer this Agreement without Purchaser’s consent to its successors and assigns, including an affiliate of the Company, and (b) Purchaser may not assign this Agreement without the prior written consent of the Company. For the avoidance of doubt, Purchaser and Purchaser’s permitted assignees shall not transfer PROFIXONE Tokens to third parties. Any purported assignment in violation of this provision shall be a breach of this Agreement and void ab initio.
