XXCITALS Sample Clauses

XXCITALS. Lender has made loans to Borrower evidenced by (i) the Tranche A Xxxxxxxxry Note dated as of December 16, 1996 executed by Borrower for the principal sum of ONE HUNDRED MILLION FIVE HUNDRED XXXXXXXX DOLLARS, with final maturity no later than January 2, 2007 and with interest as therein expressed and amended September 30, 1997, May 1, 1998, and which is being amended concurrently herewith; (ii) the Tranche B Promissory Note dated as of December 16, 1996 executed by Borrower for the principal sum of EIGHTY-NINE MILLION FIVE HUNDRED XXXXXXXX DOLLARS, with final maturity no later than January 2, 2009 and with interest as therein expressed, which was amended August 11, 2000 and which is being amended concurrently herewith; (iii) the Tranche C Promissory Note dated as of September 2, 1999 executed by Borrower for the principal sum of FOURTEEN MILLION SEVEN HUNDRXX XXXXXAND DOLLARS, with final maturity no later than January 1, 2007 and with interest as therein expressed and which is being amended concurrently herewith; and (iv) the Tranche D Promissory Note dated as of September 2, 1999 executed by Borrower for the principal sum of THIRTY MILLION THREE HUNDRED THOUXXXX XXXLARS, with final maturity no later than January 1, 2009 and with interest as therein expressed and which is being amended concurrently herewith (the Tranche A Promissory Note, the Tranche B Promissory Note, the Tranche C Promissory Note, and the Tranche D Promissory Note, as such instruments may be amended, restated, renewed and extended, are hereinafter collectively referred to as the "Notes").

XXCITALS. The Company owns, directly and through subsidiaries and joint ventures, uranium, gold and other mineral properties and uranium processing facilities in the United States. Certain of these properties are being developed for future mining and processing of gold and uranium.

XXCITALS. Penex Whitby Ltd. (the "VENDOR") has agreed to sell, transfer, assign, set over and convey to the EPR North Trust (the "PURCHASER"), an affiliate of Entertainment Properties Trust ("EPR" and together with the Vendor and the Purchaser, the "PARTIES"), the Property and certain related property and assets constituting the Purchase Assets upon the terms and conditions contained in the Whitby Entertainment Centrum Purchase Agreement dated November 14, 2003 as amended by an amending agreement between the Parties dated December 3, 2003, an amending agreement between the Parties dated December 19, 2003, an amending agreement between the Parties dated January 5, 2004; an amending agreement between the Parties dated January 9, 2004, and an amending agreement between the Parties dated January 20, 2004 (collectively, the "PURCHASE AGREEMENT"); and

XXCITALS. Seller operates the Montana Tunnels Mine in the State of Montana in the United States of America;

XXCITALS. The parties have entered into a letter agreement dated as of June 20, 1997, which letter agreement was superseded in its entirety by that certain Advisory Agreement dated as of June 20, 1997 (the "ADVISORY AGREEMENT").

XXCITALS. The Company desires to be assured of the association and services of Executive for the Company.

XXCITALS. Employer is in the business of inventing, developing, manufacturing and marketing toys. Employer is a public company.

XXCITALS. Aquilx xxx Xxxxxx xre parties to txxx xxrtain Base Agreement for Natural Gas Xxxxxases dated September 9, 1999 (the "Base Agreement").

XXCITALS. BATTLE MOUNTAIN owns or controls certain properties in Nye County, State of Nexxxa, which properties are described in Exhibit A and defined in Exhibit D (the "Properties").

XXCITALS. The recitals at the beginning of this Management Agreement are true and are incorporated by reference herein.
