Xxxxxx Solution Restrictions. Institution agrees that the Institution Parties will not: (i) use the Xxxxxx Solution for any commercial purpose not related to the normal educational purposes of the Institution; (ii) engage in any activities through or in connection with the Xxxxxx Solution that seek to, attempt to, or do harm to any individuals or entities, or deceive or exercise undue influence on individuals for unlawful purposes, or are unlawful, offensive, obscene, lewd, lascivious, filthy, violent, threatening, harassing, or abusive, or that violate any right of any third party, or are otherwise objectionable to Xxxxxx Mind; (iii) subject to applicable law reverse engineer, decompile, disassemble, reverse assemble, or modify any Xxxxxx Solution source or object code or any software or other products, services, or processes accessible through any portion of the Xxxxxx Solution; (iv) engage in any activity that interferes with a user’s access to the Xxxxxx Solution or the proper operation of the Xxxxxx Solution, or otherwise causes harm to the Xxxxxx Solution, Xxxxxx Mind Parties, or other users of the Xxxxxx Solution; (v) interfere with or circumvent any security feature of the Xxxxxx Solution or any feature that restricts or enforces limitations on use of or access to the Xxxxxx Solution, the Xxxxxx Mind Materials, or the Content; (vi) attempt to gain unauthorized access to the Xxxxxx Solution, other computer systems or networks connected to the Xxxxxx Solution, through password mining or any other means; or (vii) otherwise violate this Agreement.

Notwithstanding the foregoing, it is expressly understood and agreed that nothing contained herein shall (without implication that the contrary would otherwise be true) prohibit any Restricted Person during the Restricted Period from: (1) selling “long” (as defined under Rule 200 promulgated under Regulation SHO) the Securities; or (2) selling a number of shares of Common Stock equal to the number of Shares that the Investor is unconditionally obligated to purchase under any pending VWAP Purchase Notice or any pending Intraday VWAP Purchase Notice (as applicable), but has not yet received from the Company or its transfer agent pursuant to this Agreement, so long as (X) the Investor (or its Broker-Dealer, as applicable) delivers the Shares purchased pursuant to such pending VWAP Purchase Notice and the Shares purchased pursuant to such pending Intraday VWAP Purchase Notice (as applicable) to the purchaser thereof promptly upon the Investor’s receipt of such Shares from the Company in accordance with Section 3.3 of this Agreement and (Y) neither the Company or its transfer agent shall have failed for any reason to deliver such Shares to the Investor or its Broker-Dealer so that such Shares are timely received by the Investor as DWAC Shares on the applicable Purchase Share Delivery Date for such VWAP Purchase and on the applicable Purchase Share Delivery Date for such Intraday VWAP Purchases (as applicable) in accordance with Section 3.3 of this Agreement.

  • Export Restrictions EXPORT OF THE SOFTWARE IS PROHIBITED BY UNITED STATES LAW. THE FUND MAY NOT UNDER ANY CIRCUMSTANCES RESELL, DIVERT, TRANSFER, TRANSSHIP OR OTHERWISE DISPOSE OF THE SOFTWARE (IN ANY FORM) IN OR TO ANY OTHER COUNTRY. IF CUSTODIAN DELIVERED THE SOFTWARE TO THE FUND OUTSIDE OF THE UNITED STATES, THE SOFTWARE WAS EXPORTED FROM THE UNITED STATES IN ACCORDANCE WITH THE EXPORTER ADMINISTRATION REGULATIONS. DIVERSION CONTRARY TO U.S. LAW IS PROHIBITED. The Fund hereby authorizes Custodian to report its name and address to government agencies to which Custodian is required to provide such information by law.
