Xxxxxx Mind Materials definition

Xxxxxx Mind Materials means (i) materials and other items subject to copyright and other copyrightable material relating to the Symphony Classroom Solution, including Documentation, and similar items from Xxxxxx Mind’s licensors and other third parties; (ii) Trademarks of various parties, including those of Xxxxxx Mind; (iii) Documentation; and (iv) any other forms of intellectual property of Xxxxxx Mind.
Xxxxxx Mind Materials means (i) materials and other items subject to copyright and other copyrightable material relating to Xxxxxx Mind’s offerings, including Documentation, and similar items from Xxxxxx Mind’s licensors and other third parties; (ii) trademarks of various parties, including those of Xxxxxx Mind; (iii) Documentation; and (iv) any other forms of intellectual property of Xxxxxx Xxxx.

  • This Agreement includes only narrow, limited grants of rights to Xxxxxx Mind Materials and to use and access of the Symphony Classroom Solution.

  • The Symphony Classroom Solution and the Xxxxxx Mind Materials are owned or controlled by Xxxxxx Mind and its licensors and certain other third parties.

  • All rights, title, and interest in and to the Xxxxxx Mind Materials available via the Symphony Classroom Solution is the property of Xxxxxx Mind or its licensors or certain other third parties, and is protected by U.S. and international copyright, trademark, trade dress, trade secret, patent and/or other intellectual property and unfair competition rights and laws to the fullest extent possible.

  • If you do not agree to such Changes, you must cease your use of the Symphony Classroom Solution and Xxxxxx Mind Materials.

  • Upon any termination or expiration of these Terms or the availability of the Symphony Classroom Solution and Xxxxxx Mind Materials, you understand and acknowledge that ongoing services, support and maintenance of the Symphony Classroom Solution shall cease, and that the software contained in Symphony Classroom AI Hubs may no longer be operable.

  • The Symphony Classroom Solution and the Xxxxxx Mind Materials, and all intellectual property therein and derivatives thereof, are owned or controlled by Xxxxxx Mind and its licensors and certain other third parties.

  • The foregoing provisions of this Section 10 will not apply to any legal action taken by Xxxxxx Mind to seek an injunction or other equitable relief in connection with any loss, cost, or damage (or any potential loss, cost, or damage) relating to the Symphony Classroom Solution, Xxxxxx Mind Materials, and/or Xxxxxx Mind’s intellectual property rights (including such that Xxxxxx Mind may claim may be in dispute), Xxxxxx Mind’s operations, and/or Xxxxxx Mind’s products or services.

  • All right, title, and interest in and to the Xxxxxx Mind Materials available via the Xxxxxx Solution is the property of Xxxxxx Mind or its licensors or certain other third parties, and is protected by U.S. and international copyright, trademark, trade dress, trade secret, patent and/or other intellectual property and unfair competition rights and laws to the fullest extent possible.

  • All right, title, and interest in and to the Xxxxxx Mind Materials available via the Symphony Classroom Solution is the property of Xxxxxx Mind or its licensors or certain other third parties, and is protected by U.S. and international copyright, trademark, trade dress, patent and/or other intellectual property and unfair competition rights and laws to the fullest extent possible.

  • The Xxxxxx Solution and the Xxxxxx Mind Materials are owned or controlled by Xxxxxx Mind and its licensors and certain other third parties.

Related to Xxxxxx Mind Materials

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Custom Materials means Materials developed by the Supplier at the Procuring Entity's expense under the Contract and identified as such in Appendix 5 of the Contract Agreement and such other Materials as the parties may agree in writing to be Custom Materials. Custom Materials includes Materials created from Standard Materials.

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • SAP Materials means any software, programs, tools, systems, data, or other materials made available by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) prior to or in the course of the performance under any part of this Agreement including, but not limited to, the other SAP Products.

  • Background Material means any pre-existing works in which the Intellectual Property Rights are owned by either Party, which have been prepared by that Party outside the scope of this Agreement or which were licensed from a third party by that Party.”

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Court or Court Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Standard Materials means all Materials not specified as Custom Materials.

  • Research Materials means all tangible materials other than Subject Data first produced in the performance of this CRADA.

  • API means American Petroleum Institute.

  • Input Material means all documents, information, representations, statements and materials provided by Customer or a third party on behalf of Customer, relating to the Services, including computer programs, data, logos, reports and specifications and inventories.

  • Client Materials means the CLIENT Development Materials and the CLIENT Production Materials.

  • Supplier Materials has the meaning set out in clause 8.1(g);

  • Contractor Materials means Materials owned or developed prior to the provision of the Work, or developed by Contractor independently from the provision of the Work and without use of the Court Materials or Confidential Information.

  • Customer Materials any materials, data, information, software, equipment or other resources owned by or licensed to You and made available to Us pursuant to facilitating Your use of the Services, including Customer Data.

  • Manufacturing Materials means parts, tools, dies, jigs, fixtures, plans, drawings, and information produced or acquired, or rights acquired, specifically to fulfill obligations set forth herein.

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • GOODS / MATERIALS means any of the articles, materials, machinery, equipments, supplies, drawing, data and other property and all services including but not limited to design, delivery, installation, inspection, testing and commissioning specified or required to complete the order.

  • Output Material means any Documents or other materials, and any data or other information provided by the Supplier relating to the Specified Service;

  • Printed Materials means all artwork and mechanicals set forth on the disc label of the PlayStation Disc relating to any of the Licensed Products and on or inside any Packaging for the Licensed Product, and all instructional manuals, liners, inserts, trade dress and other user information to be inserted into the Packaging.

  • Plant and materials means: The Plant and materials in respect of which an advance payment prior to manufacture is required, which the City of Cape Town has agreed may be subject to advance payment, such Plant and materials being listed in the Schedule of Plant and materials.

  • Product Information has the meaning specified in Section 10.12(a).

  • Commercial Software means Software developed or regularly used that: (i) has been sold, leased, or licensed to the general public; (ii) has been offered for sale, lease, or license to the general public; (iii) has not been offered, sold, leased, or licensed to the public but will be available for commercial sale, lease, or license in time to satisfy the delivery requirements of this Contract; or (iv) satisfies a criterion expressed in (i), (ii), or (iii) above and would require only minor modifications to meet the requirements of this Contract.

  • Third Party Materials means any materials and information, including documents, data, know-how, ideas, methodologies, specifications, software, content, and technology, in any form or media, in which any Person other than the State or Contractor owns any Intellectual Property Right, but excluding Open-Source Components.
