Xxxxxx’s and Seller’s Duties. Xxxxxx agrees to exercise reasonable effort and due diligence to achieve the purposes of this Agreement. Seller acknowledges that this is a Limited Service Agreement and that Broker shall do nothing more than place the Property in the MLS. Xxxxxx agrees to consider offers and act in good faith to accomplish the sale of the Property by, among other things, making the Property available for showing at reasonable times. Seller is responsible for determining at what price to list and sell the Property. Seller shall provide Broker with all requested Property information and represents that all such information shall be true and accurate to the best of Seller’s knowledge. Seller shall be required to execute and provide to prospective buyers all legally required disclosures. Seller understands and acknowledges that Seller has been advised that Xxxxxx will not conduct any investigation of the Property to verify the information provided by Seller and is not responsible for the accuracy of any such information.

Broker shall comply with all applicable laws in performing its duties hereunder including the Brokerage Relationships in Real Estate Transaction Act, O.C.G.A., Section 10-6A-1 et. Seq. Broker shall not, unless it is separately contracted for, assist in negotiating the terms of or filling out a pre-printed real estate purchase and sale agreement and/or counteroffer. Within five (5) days of this Agreement, Seller agrees to complete the attached Seller’s Property Disclosure Statement and provide a fully executed copy of the same to Broker. Broker is hereby authorized to distribute the same to prospective buyers interested in the Property.

  • Seller’s Duties Seller agrees to make a reasonable effort to accommodate the Broker, including, but not limited to, open houses, showings, Buyer appointments, inspections, testing, and any other requests regarding the use of the Property. When receiving offers, the Seller agrees, in good faith, to consider all proposals, letters, or similar contracts presented by the Broker. Seller shall be the only party responsible for determining the Purchase Price or any price for the sale of the Property.

  • Buyer’s Duties Buyer agrees to work with the Agency in accordance with Section II of this Agreement in addition to the following:

  • Broker’s Duties Xxxxxx agrees to exercise all reasonable efforts while providing a fiduciary duty to act in the best interests of the Seller. Broker shall market the Property to the best of their abilities in order to achieve the highest sales price feasible for the Seller. Broker shall make all attempts to transfer the Property to a qualified Buyer and shall follow-up with every effort to ensure such result is to the benefit of the Seller.

  • Seller’s Obligations at Closing At Closing, Seller shall:

  • PURCHASER's Responsibilities For the duration of the suspension, PURCHASER is responsible to continue maintenance at the operations just as if the operations was in progress. This includes, but is not limited to, protection of completed operations, maintenance of access, protection of stored materials, temporary facilities, and clean-up. When operations re-commence after the suspension, the PURCHASER shall replace or renew any operations damaged during the suspension, remove any materials or facilities used as part of temporary maintenance, and complete the project in every respect as though its prosecution had been continuous and without suspension. If PURCHASER fails to remedy any violations of this contract within 10 days after receipt of the violation/suspension notice given under this section, STATE may, by written notice, cancel this contract and take appropriate action to recover all damages and expenses suffered by STATE by reason of such violations, including application of any advance payments and any performance bonds toward payment of such damages.

  • SELLER’S RESPONSIBILITIES (a) Seller shall act in performance of this Agreement as an independent contractor and not as an agent for Company or the Government in performing this Agreement, maintaining complete control over its employees and all lower-tier subcontractors. Nothing contained in this Agreement or any lower-tier subcontract shall create any contractual relationship between any such lower-tier subcontractor and the Government or Company. Seller is solely responsible for the actions of itself and its lower-tier subcontractors, agents or employees.

  • Contractor’s Duties The Contractor shall perform all duties described in this Contract to the satisfaction of the State. Representations and Warranties Under Minn. Stat. §§ 15.061 and 16C.03, subd. 3, and other applicable law the State is empowered to engage such assistance as deemed necessary. Contractor warrants that it is duly qualified and shall perform its obligations under this Contract in accordance with the commercially reasonable standards of care, skill, and diligence in Contractor’s industry, trade, or profession, and in accordance with the specifications set forth in this Contract, to the satisfaction of the State. Contractor warrants that it possesses the legal authority to enter into this Contract and that it has taken all actions required by its procedures, by-laws, and applicable laws to exercise that authority, and to lawfully authorize its undersigned signatory to execute this Contract, or any part thereof, and to bind Contractor to its terms.
