Xxxxxxxxx Lease. Seller shall use its commercially reasonable efforts to obtain all consents and approvals necessary to be obtained for Seller (and after the Closing, Buyer) to occupy, and operate the Purchased Assets and the Business at, the property to be leased pursuant to the Xxxxxxxxx Lease. In the event that all such consents and approvals are not obtained prior to the Closing, Buyer may at its option (exercisable by it in its sole discretion) elect to include the Xxxxxxxxx Lease on the Schedule 1.1E(vi) list of excluded Contracts, in which case Buyer shall have no obligation to assume the Xxxxxxxxx Lease.

Xxxxxxxxx Lease. On or before the Closing Date, Seller agrees to enter into a sublease with Buyer for the existing square footage used by the bank currently occupying the space or 1100 square feet, whichever is less, on the first floor of One Xxxxxxxxx Place, Wilmington, Delaware. Said sublease shall be for a term equivalent to Seller's lease at such facility, at a cost of $11 per square foot.

Xxxxxxxxx Lease. “It is a lease under which the present value of the minimum lease payments at the inception(begining) of the lease exceeds or is equal to substantially the whole of the fair value of the leased asset” (ICAI) • A financial lease is non-cancelable in nature. • The lessee is responsible for maintenance of the asset and the agreement is usually renewed on completion of the term. Xxxxxxxxx Lease. Snowcap and the City acknowledge that the Property is currently leased to XxxXxxxxx Ranch, LLC, a Colorado limited liability company (“XxxXxxxxx”), under that certain Somerville Ranch and Xxxxxxxx Ranch Lease dated May 1, 2020 (the “XxxXxxxxx Lease”). The XxxXxxxxx leasehold is for several larger parcels of land and the Property makes up a minor portion of the XxxXxxxxx leasehold. Snowcap and VanWinkles, by separate agreement, have agreed to Snowcap’s sublease of the Property and during the term of the XxxXxxxxx Lease, Snowcap shall be a subtenant of XxxXxxxxx, to which the City consents. A copy of Snowcap and XxxXxxxxx’x sublease is attached as Exhibit Band to the extent necessary or require this Lease shall modify the XxxXxxxxx Lease. If and when there is a termination of the XxxXxxxxx lease, this Lease shall be deemed the leasehold for the Property. Any subsequent lease(s) for City real property adjacent to the Property shall exclude the Property from the real property lease(s) and shall be subject to Snowcap’s rights and tenancy of the Property and rights of access under this Lease.

Xxxxxxxxx Lease. In the context of a pending renewal of the Xxxxxxxxx Lease (described on Exhibit B hereto), the lessors have made certain proposals for lease modifications. The terms of the lease do not provide for or require these proposed modifications.
