Accessing Party definition

Accessing Party has the meaning set forth in Section 7.2(a).

Accessing Party has the meaning given to it in clause 18.1.

Accessing Party means the Party using Permitted Access to access the Receiving Party’s Accessed Premises; “Receiving Party” means the Party whose Accessed Premises are being accessed by the Accessing Party; “Accessed Premises” means a Receiving Party’s premises, facilities, equipment, supplies or systems that are accessed by the Accessing Party; “Receiving Party Representative” means the Provider Representative (if Provider is the Receiving Party) or the Company Representative (if the Company is the Receiving Party), as applicable; and “BP Premises” means the San Diego Premises other than the Verenium Sublet Premises.

Examples of Accessing Party in a sentence

• The Accessing Party shall use commercially reasonable efforts to cooperate with the other Party in investigating any apparent unauthorized access to such other Party’s Systems.

• By accessing, using or disclosing Customer Information made available to the Accessing Party by the other Party pursuant to this Agreement, the Accessing Party represents and warrants that the Accessing Party has obtained, in the manner required by Applicable Law, any Customer authorization for such action required by Applicable Law.

• The Accessing Party shall upon request by the other Party provide proof of such authorization (including, a copy of any written authorization).

• An Accessing Party shall not access (including, but not limited to, through electronic interfaces and gateways provided pursuant to this Agreement), use or disclose Customer Information made available by the other Party pursuant to this Agreement unless the Accessing Party has obtained any Customer authorization required by Applicable Law for such access, use and/or disclosure.

• In the event that a dispute or question arises as to the propriety of an Accessing Party’s access to, or use or disclosure of, Customer Information, the Accessing Party shall upon request by the other Party provide proof of any Customer authorization required by Applicable Law for access to, or use or disclosure of, Customer Information made available by the other Party pursuant to this Agreement (including, copies of any written authorization).
