Account Debtor Notice definition

Account Debtor Notice means a notice to an Account Debtor substantially in the form of EXHIBIT A, it being understood that Account Debtor Notices shall be sent only to Account Debtors described in clause (p) of the definition of "Eligible Account".

"ADJUSTED BASE RATE" means, for any day, an interest rate per annum (rounded upwards, if necessary), to the next 1/16 of 1%) equal to the greater of (a) the Prime Rate in effect on such day, and (b) the Federal Funds Rate in effect on such day PLUS 1/2 of 1%. Any change in the Adjusted Base Rate due to a change in the Prime Rate or the Federal Funds Rate shall be effective from and including the effective date of such change in the Prime Rate or the Federal Funds Rate, respectively.
