Acquired Business Employees definition

Acquired Business Employees means (a) Group Company Business Employees, (b) Purchased Asset Business Employees, and (c) Other Acquired Business Employees.
Acquired Business Employees shall have the meaning set forth in Section 5.7 hereof.
Acquired Business Employees means those persons who are employees of Seller engaged in the Acquired Business as of the applicable date, excluding the Excluded Employees. The Acquired Business Employees as of August 27, 1998 are identified in Schedule P.

  • Purchaser's obligation to employ such Acquired Business Employees shall be subject to such employees' compliance with the standard hiring practices of Purchaser.

More Definitions of Acquired Business Employees

Acquired Business Employees means (a) each employee of a Transferred Company as of the Closing Date, (b) each employee of the Seller or one of its Affiliates as of the Closing Date (other than a Transferred Company) whose employment as of the Closing Date primarily relates to the Acquired Businesses and (c) each employee of the Seller or one of its Affiliates who the Parties mutually determine in good faith following the date hereof and prior to the Closing shall be an “Acquired Business Employee”, including in all cases, each such employee who as of the Closing Date is on leave of absence (including medical leave, military leave, workers compensation leave and short-term or long-term disability) or vacation, and excluding any individual the Parties mutually determine in good faith following the date hereof and prior to the Closing shall not be an “Acquired Business Employee.” Notwithstanding the foregoing, Buyer may, at its election, exclude any employee described in clause (a) or clause (b) of the immediately preceding sentence whose current primary work location is in London, United Kingdom, Houston, Texas or Italy from being designated an “Acquired Business Employee.” References to the “Closing” and the “Closing Date” in this definition shall be deemed to be references to the applicable “Deferred Transfer” and the “Deferred Transfer Date”, respectively, as applicable, with respect to any Acquired Business Employee who is employed primarily in a Deferred Business.
Acquired Business Employees has the meaning set forth in Section 2.19(a).
Acquired Business Employees means all employees of the SpinCo Entities who are dedicated to the Acquired Business (as scheduled on Schedule 1.1(a)).

Related to Acquired Business Employees

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Seller Employee Plan means any plan, program, policy, practice, Contract or other arrangement providing for compensation, severance, termination pay, deferred compensation, performance awards, stock or stock-related awards, fringe benefits or other employee benefits or remuneration of any kind, whether written, unwritten or otherwise, funded or unfunded, including each "employee benefit plan," within the meaning of Section 3(3) of ERISA (whether or not ERISA is applicable to such plan), that is or has been maintained, contributed to, or required to be contributed to, by the Seller or any Seller Affiliate for the benefit of any Seller Employee, or with respect to which the Seller or any Seller Affiliate has or may have any liability or obligation, except such definition shall not include any Seller Employee Agreement.

  • Parent Business has the meaning set forth in the Separation and Distribution Agreement.

  • Acquired Entities means the Company and each of its Subsidiaries, collectively.

  • Target Companies means the Company and its Subsidiaries.

  • Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.
