Examples of Company Business Employees in a sentence
All policies of insurance existing on the date hereof relating to the Company Business, the Company Business Assets and the Company Business Employees (except for any such policies maintained to provide benefits to employees under an Employee Benefit Plan) are listed on Section 3.17 of the Photomedex Technology Disclosure Schedule, are in full force and effect, and the Company is not in default in any material respect with respect to its obligations under any such insurance policies.
All policies of insurance existing on the date hereof relating to the DSKX Business, the DSKX Business Assets and the Company Business Employees (except for any such policies maintained to provide benefits to employees under an Employee Benefit Plan) are listed on Section 4.17 of the DSKX Disclosure Schedule, are in full force and effect, and no DSKX Group member is in default in any material respect with respect to its obligations under any such insurance policies.
Notwithstanding any other provision of this Agreement and with respect to those Conveyed Company Business Employees who are represented for purposes of collective bargaining by a labor organization, Purchaser shall cause each such entity to comply with and observe the terms of any collective bargaining agreement and applicable Law, with respect to the wages, hours and other terms and conditions of employment with respect to such employees.
Neither the Company nor any of its Subsidiaries is or has ever been delinquent in payments to any Company Business Employees or Company Business Independent Contractors for any wages, salaries, commissions, bonuses or other direct compensation for any services performed for it or amounts required to be reimbursed to such employee.
Buyer shall offer employment to certain Retained Company Business Employees, as Buyer deems appropriate in its sole discretion, in jurisdictions where applicable Law does not provide for the automatic transfer of employment of the Retained Company Business Employee to Buyer or its Affiliates.
The Company has not, at any time within the past five (5) years, been delinquent in payments to any Company Business Employees or Company Business Independent Contractors for any wages, salaries, commissions, bonuses or other direct compensation for any services performed for it or amounts required to be reimbursed to such employee.
Promptly following the execution and delivery of this Agreement and prior to the Closing, Parent, Buyer and the Company shall work together in good faith to allocate the $2.5 million in cash set aside under the Retention Plan among the Company Business Employees who accept offers of employment with Parent or Buyer in connection with the Merger and the other transactions contemplated hereby, subject only to being employed by Parent or one of its Subsidiaries on the payment date of such bonuses.
Nothing contained herein, including, without limitation, the provisions of Section 6.5 regarding Company Business Employees, shall grant to or create in any Person not a Party hereto, or any such Person’s dependents, heirs, successors or assigns, any right to any benefits hereunder, and no such Person shall be entitled to xxx any Party to this Agreement with respect thereto.
Section 2.18(a) of the Company Disclosure Schedule sets forth a true, correct and complete list as of the Closing Date of the name, 1999 IRS Form W-2 compensation (including bonuses and commissions), title, current base salary rate, commissions and accrued unused vacation benefits as of June 30, 2000 of each of the then employees of Company ("Business Employees").
The parties hereto agree that Purchaser, subject to acceptable interview, shall offer employment by the Company to each of the Company Business Employees (listed in Schedule 4.6) to be effective as of the day following the Closing Date in a position substantially similar to that held with Seller as of the Closing Date, with compensation not less than substantially equivalent to those provided by Seller as of the Closing Date.
