Company Business Employees means (i) each employee listed on Section 3.11(a) of the Disclosure Schedule and (ii) each other employee who provides services to the Company or the Purchased Subsidiaries identified by Purchaser to Seller after the date of this Agreement and prior to the Closing.

  • Neither the Company nor any of its Subsidiaries is or has ever been delinquent in payments to any Company Business Employees or Company Business Independent Contractors for any wages, salaries, commissions, bonuses or other direct compensation for any services performed for it or amounts required to be reimbursed to such employee.
