Acquired Product definition

Acquired Product means any Product of the type described in clause (b) of the definition thereof and/or related IP Rights acquired or licensed by a Note Party or any of its Wholly-Owned Subsidiaries from a Third Party to facilitate the advertisement, development, importing, manufacturing, marketing, offering for sale, promotion, sale, testing, use or distribution of such Product by a Note Party or a Wholly-Owned Subsidiary.
Acquired Product shall have the meaning set forth in Section 4.3.
Acquired Product means any Product of the type described in clause (b) of the definition thereof and/or related Intellectual Property acquired or licensed by a Loan Party or any Subsidiary from a Third Party to facilitate the advertisement, development, importing, manufacturing, marketing, offering for sale, promotion, sale, testing, use or distribution of such Product by a Loan Party or a Subsidiary.

Examples of Acquired Product in a sentence

  • No event has occurred, and no circumstance or condition exists, that (with or without notice or lapse of time) will, or could reasonably be expected to, result in the delivery, license or disclosure of the source code for or used in any Acquired Product to any Third Party.

  • If the Acquired Product is in the Optional Areas, then the acquiring Party may, but is not obligated to, negotiate with the other Party to make the Acquired Product an Alliance Product.


More Definitions of Acquired Product

Acquired Product collectively means Prototypes, Preproduction Units and Production Unit (respectively defined hereunder) that Seller may design, develop and/or supply to Buyer. Acquired Product comprises hardware and/or software including but not limited to Equipment, Options, Consumables, Spare Parts, print servers, finishing module, publications, firmware and embedded Software.
Acquired Product means any product or product candidate of Seller relating to treatment of anal fissures or hemorrhoids, including without limitation Seller's product candidate currently named "Anogesic" for the treatment of anal fissures, hemorrhoids and certain other conditions.
Acquired Product means any product that contains, or otherwise incorporates, an Acquired Compound.
Acquired Product means Xx Xxxx'x Personal Medical Record System ("PMR") (including all present and predecessor versions thereof and all works in progress relating to its correction, enhancement or modification), including both source code and object code versions and all supplements, enhancements and modifications thereto created by EHC or otherwise, and all audio and/or visual elements. In addition, Acquired Product includes the framework used for the development of PMR, whether stand-alone or web based. HMI hereby acknowledges that the PMR has not been completed and is not a fully functional software program.
Acquired Product means any product for which BioChem or a BioChem Affiliate has exercised the Product Option granted pursuant to the Product Option Agreement.

Available Funds shall not include payments made by BioChem to CliniChem pursuant to the Product Option Agreement.
