The Actual Working Capital Statement shall become final and binding upon the Parties 30 days following delivery to Seller Representative or its agent, unless Seller Representative gives written notice of disagreement (a “Notice of Disagreement”) to Buyer prior to such date.

Within 40 business days after the date of Completion, the Company will prepare and deliver to the Sellers a final draft of the Completion Accounts which will include a final draft of the Actual Net Debt Statement and final draft Actual Working Capital Statement (Collectively referred as “Completion Documents”) The Sellers will have 40 business days to review and accept the Completion Documents.
The Actual Working Capital Statement shall be based on the Closing Financial Statements.
