Additional Investment Units definition

Additional Investment Units means the Units purchased by an Additional Investment as described in Part 3, Condition 3.1.

  • In any case, best results are obtained with sliding windows of 60 frames.

  • This charge is 0.3% of the Additional Investment Units in the bond each quarter levied for a period of five years from the date of the additional investment.

Related to Additional Investment Units

  • Additional Units means such Units (as defined herein) as are issued in respect of Additional Securities."

  • Additional Shares shall have the meaning specified in Section 14.03(a).

  • Initial Shares means a number of Registrable Securities equal to the lesser of (i) the total number of Registrable Securities and (ii) one-third of the number of issued and outstanding shares of Common Stock that are held by non-affiliates of the Company on the day immediately prior to the filing date of the Initial Registration Statement.

  • Initial Common Units means the Common Units sold in the Initial Offering.

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Additional Common Shares means all common stock (including reissued shares) Issued (or deemed to be issued pursuant to Section 2) after the date of the Warrant. Additional Common Shares does not include, however, any common stock Issued in a transaction described in Sections 2.1 and 2.2 of the Warrant; any common stock Issued upon conversion of preferred stock outstanding on the date of the Warrant; the Shares; or common stock Issued as incentive or in a nonfinancing transaction to employees, officers, directors or consultants to the Company.

  • Initial Units means, with respect to any Initial Limited Partner, the aggregate number of Class A Units owned by such Initial Limited Partner as of the date of this Agreement.

  • Additional Purchased Securities Securities provided by Seller to Buyer pursuant to Paragraph 4(a) hereof;

  • Initial Investor Interest means, with respect to any Series of Certificates, the amount stated in the related Supplement.

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • Over-Allotment Units means the additional number of Private Units the Sponsor will be required to purchase in the event that the underwriters in the Company’s initial public offering exercise their over-allotment option, as described in the prospectus relating to the Company’s initial public offering.

  • Additional Ordinary Shares means Ordinary Shares issued by the Guarantor following the issuance of the Subscribed Ordinary Shares;

  • Investment Amount means the dollar amount to be invested by Investor to purchase Put Shares with respect to any Put as notified by the Company to Investor in accordance with Section 2.2.

  • Purchased Units means, with respect to a particular Purchaser, the number of Common Units equal to the aggregate Purchase Price set forth opposite such Purchaser’s name under the column titled “Purchase Price” set forth on Schedule A hereto divided by the Common Unit Price.

  • Original Shares means ordinary shares with a par value of US$0.0001 each in the capital of the Company;

  • Membership Units means membership interests in the Company.

  • Alternative Investment Vehicle means an entity created in accordance with the Operative Documents of a Borrower to make investments and that has the right to call on Capital Commitments directly from Investors.

  • Investor Shares shall have the meaning given in the Recitals hereto.

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).

  • Investor Warrants has the meaning given it in the recitals of this Agreement.

  • Commitment Shares shall have the meaning set forth in Section 12.04.

  • Additional Warrants means such further warrants as may be required or permitted to be issued by the Company in accordance with Condition 5 (such further warrants to rank pari passu with the Original Warrants and for all purposes to form part of the same series), each such Additional Warrant entitling the holder thereof to subscribe for one (1) New Share at such price as may be determined in accordance with Condition 5, upon and subject to the Conditions;

  • A Shares means a participating share of no par value in the capital of the Fund, denominated in US Dollars;

  • Equity-linked Securities means any debt or equity securities that are convertible, exercisable or exchangeable for Class A Shares issued in a financing transaction in connection with a Business Combination, including but not limited to a private placement of equity or debt.

  • New Common Shares means the common stock or common equity of Reorganized XOG to be issued on the Effective Date.
