Additional Prepayment Amount means, with respect to any Series of Notes as of any Payment Date, the sum of:

• The Base Prepayment Amount shall be paid in cash and the Additional Prepayment Amount shall be paid in Common Shares provided that the Equity Conditions are satisfied (or waived by the Holder), or, at the Company’s option, following notice to the Holder, in cash or in a combination of cash and Common Shares.

• The Borrowers have requested that the Lenders give a limited waiver of the Section 8.13 Limitation (this "Limited Waiver") to permit the Borrowers to prepay up to $10,000,000 more of the Tranche B Loans than would otherwise be permitted by Section 8.13 (the "Additional Prepayment Amount").

• The Limited Waiver set forth in this §3 is effective only with respect to prepayments (which shall not exceed the Additional Prepayment Amount) that are made on or before April 30, 2004.

More Definitions of Additional Prepayment Amount

Additional Prepayment Amount means, with respect to any Series of Notes as of any Payment Date, the sum of (a) the Additional Prepayment Amount on the immediately preceding Payment Date (or, on the first Payment Date, zero) plus (b) the sum of all Rapid Amortization Amounts applied to such Series on the immediately preceding Payment Date plus (c) the sum of all Additional Disposition Payments applied to such Series on such Payment Date plus (d) the sum of all Cash Trap Principal Payments applied to such Series on the immediately preceding Payment Date.

Additional Prepayment Amount means the lesser of (i) $750,000 and (ii) an amount determined by multiplying (x) the quotient (expressed as a percentage) of (a) the amount by which gross proceeds from the issuance of the Series K Preferred Stock exceed $3,500,000, divided by (b) $1,500,000, by (y) $750,000.

Additional Prepayment Amount means the greater of zero and the Swap Unwind Amount. “BLT Disbursement Request” has the meaning attributed to it in Article 1.02D1.

Additional Prepayment Amount means either (A) in the event that the Superior Proposal is with the entity set forth on Schedule A hereto (“Company X”), the Prepayment Premium, and (B) in the event that the Superior Proposal is not with Company X, the greater of (i) the Prepayment Premium that would be applicable to the Obligations and (ii) the amount by which the Converted Share Value exceeds the value of the Obligations (assuming no conversion of such Obligations).

Additional Prepayment Amount means a dollar amount based upon the amount of the discount to the Market Price in such offering multiplied by the amount of shares issued or issuable as Derivative Securities in such offering.
