ADESA Employee definition

ADESA Employee means an employee of ADESA or any ADESA Affiliate immediately after the Distribution, or a retiree or other former employee of ADESA or any ADESA Affiliate who is not an ALLETE Employee, provided that any ALLETE Employee who becomes an ADESA Employee shall be considered an ADESA Employee.

  • As of the Spin-off Date, ADESA Transferred Employees shall be treated as terminated ALLETE employees under the terms of the ALLETE and Affiliated Companies Employee Stock Purchase Plan and shall be eligible to participate in the ADESA Employee Stock Purchase Plan upon its effective date.

  • The Deferred Stock Units under the ALLETE SERP in respect of each ADESA Employee shall be transferred to the ADESA SERP as of the Spin-Off Date and ADESA shall assume such Liability.

  • Except as specified in this Agreement, no provision of this Agreement, the Master Separation Agreement, or any Ancillary Agreement shall be construed to create any right or accelerate entitlement to any compensation or benefit whatsoever on the part of any ADESA Employee, ADESA Transferred Employee or other former, present or future employee of ALLETE or ADESA under any ALLETE Plan or ADESA Plan or otherwise.

  • If the Executive's employment is terminated by his death, ADESA shall within 10 days following the date of the Executive's death pay to the Executive's estate his full unpaid base salary at the rate then in effect, through the Date of Termination, together with any other amounts to which the Executive is entitled pursuant to applicable law and ADESA Employee Benefit Plans, all in accordance with the terms thereof as amended from time to time.

It includes all such persons regardless of any contractual relationship that may be alleged to exist between a Contractor or subcontractor and such persons.

  • Tipped employee means any employee engaged in an occupation in which s/he customarily and regularly receives more than $30 per month in tips. Tips include amounts designated as a tip by credit card customers on their charge slips. Nothing in this rule prevents an employer from requiring employees to share or allocate such tips or gratuities on a pre-established basis among other employees who customarily and regularly receive tips. Employer-required sharing of tips with employees who do not customarily and regularly receive tips, such as management or food preparers, or deduction of credit card processing fees from tipped employees, shall nullify allowable tip credits towards the minimum wage.

  • Active Employee means a contributing member of the TRS who is employed by a public school and is not entitled to coverage under a plan provided under Insurance Code Chapter 1551 (Texas Em- ployees Group Benefits Act) or 1601 (State University Employees Uniform Insurance Benefits Act).

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • Business Employee means any individual employed by Seller in or in connection with the Business.

  • Newly hired employee or “New Hire” means any employee, whether permanent, full-time, or part-time, hired by the Office and who is still employed as of the date of new employee orientation. It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • Parent Employee means, a current employee of Parent or any of its Subsidiaries.

  • Ongoing employee means an employee who has been employed for at least one complete standard measurement period.

  • Male employee means an employed male who is caring for a child borne of his spouse or a child placed with the employee for adoption purposes.

  • Contract employee means an employee performing services under a PEO services contract or temporary help services contract.

  • Affected employee means an employee who would be affected by the grant or denial of a variance, or any one of the employee’s authorized representatives, such as the collective bargaining agent.

  • Inactive Employee means an employee who is not actively at work due to approved leave of absence, short-term disability leave or military leave.

  • Non-Key Employee means any Employee who is not a Key Employee.

  • Current Employee has the meaning set forth in Section 7.8(a).

  • Owner-Employee means a Self-Employed Individual who is a partner and owns more than 10% of either the capital or profits interest of the partnership.

  • Qualifying Employee means any employee of Managing Agent or Parent or any of their respective subsidiaries who is and has been an employee of Managing Agent or Parent or any of their respective subsidiaries for at least thirty-six (36) months.

  • Executive Employee means those employees of the Company of Grade Level 10 or above.

  • School employee means (1) a teacher, substitute teacher, school administrator, school superintendent, guidance counselor, psychologist, social worker, nurse, physician, school paraprofessional or coach employed by a local or regional board of education or working in a public elementary, middle or high school; or (2) any other individual who, in the performance of his or her duties, has regular contact with students and who provides services to or on behalf of students enrolled in a public elementary, middle or high school, pursuant to a contract with the local or regional board of education.

  • Retired employee means an employee of the state who retired after April 29, 1971,

  • Non-Employee means a consultant, adviser, service provider, Controlling Shareholder or any other person who is not an Employee.
