Adjusted Cost Price definition

Adjusted Cost Price means, with respect to each of the Unvested Incentive Shares, the original purchase price paid by the applicable Management Shareholder for such Unvested Incentive Shares (including any Unvested Incentive Shares which have been converted into other shares of capital of the Company, and adjusted for any stock dividend payable upon, or subdivision or combination of, the Unvested Incentive Shares).
Adjusted Cost Price has the meaning set forth in Section 7.2(a)(ii)(B)(1) of this Agreement.
Adjusted Cost Price for each share of Common Stock or Preferred Stock means the lower of (i) the relevant Fair Market Value Price and (ii) (X) in the case of the Common Stock, the original purchase price per share for the Management Investor's Common Stock (adjusted for any stock dividend payable upon, or subdivision or combination of, the Common Stock) and (Y) in the case of the Preferred Stock, $1,000.00 (adjusted for any subdivision or combination of the Preferred Stock);

  • Notwithstanding the foregoing, the Option Purchase Price at all times shall equal or exceed the product of the Adjusted Cost Price and the Purchase Number.

Adjusted Cost Price for each Incentive Share means the price paid by such Management Investor per share (adjusted for any stock dividend payable upon, or subdivision or combination of, the Common Stock); and
