Adjusted Number of Shares definition

Adjusted Number of Shares and "Adjusted Purchase Price" have the respective meanings set forth in Section 11.1.3 hereof.

Adjusted Number of Shares shall be equal to that number of (or fractions of) Common Shares (and/or capital stock equivalents) equal to the product of (x) the number of Adjustment Shares and (y) a fraction, the numerator of which is the number of Common Shares (and/or capital stock equivalents) available for issuance upon exercise of the Rights and the denominator of which is the aggregate number of Adjustment Shares otherwise issuable upon exercise in full of all Rights (assuming there were a sufficient number of Common Shares and/or capital stock equivalents available) (such fraction being referred to as the “Proration Factor”).
