Administrator/Benchmark Event definition

Administrator/Benchmark Event means, in respect of any Series of Preference Shares and an Index, any authorisation, registration, recognition, endorsement, equivalence decision, approval or inclusion in any official register in respect of the Index or the administrator of the Index or the Index Sponsor has not been, or will not be, obtained or has been, or will be, rejected, refused, suspended or withdrawn by the relevant competent authority or other relevant official body, in each case as required under any applicable law or regulation in order for the Company, the Calculation Agent or any other entity to performits or their respective obligations in respect of the Preference Shares or any Related Financial Product, all as determined by the Calculation Agent;
Administrator/Benchmark Event means, in relation to any Benchmark, the occurrence of a Benchmark Modification or Cessation Event, a Non-Approval Event, a Rejection Event or a Suspension/ Withdrawal Event all as determined by the Issuer.
Administrator/Benchmark Event means, in respect of any Security, a determination made by the Determination Agent that any authorisation, registration, recognition, endorsement, equivalence decision, approval or inclusion in any official register in respect of the Relevant Benchmark or the administrator or sponsor of the Relevant Benchmark has not been, or will not be, obtained or has been, or will be, rejected, refused, suspended or withdrawn by the relevant competent authority or other relevant official body, in each case with the effect that any of the Issuer, the Determination Agent or the Calculation Agent is not, or will not be, permitted under any applicable law or regulation to use the Relevant Benchmark to perform its or their respective obligations in respect of the Securities.

Examples of Administrator/Benchmark Event in a sentence

  • If the Issuer determines that an Administrator/Benchmark Event has occurred in respect of a Relevant Benchmark, the relevant disruption fallbacks will apply in the order specified, provided that if it would be unlawful or would contravene applicable licensing requirements for the Issuer or the Calculation Agent to perform the actions prescribed in an applicable disruption fallback, the next applicable disruption fallback will apply.

  • If an Administrator/Benchmark Event occurs, the Securities may be subject to adjustment or early redemption.

  • Provided that such Alternative Pre-nominated Reference Interest Rate is subject to an Administrator/Benchmark Event the second Alternative Pre-nominated Reference Interest Rate shall apply."Business Day" means the day(s) defined in §5(3)."Call Valuation Date" means the first Scheduled Trading Day of the month following the expiry of 35 calendar days after the Issuer’s Call Date.

  • In addition, the occurrence of an Administrator/Benchmark Event may cause early redemption or adjustment of the Notes which may include selecting one or more successor benchmarks and making related adjustments to the Notes, including if applicable to reflect increased costs.

  • Subject to the next sentence, where an Administrator/Benchmark Event (as defined in General Condition 6(l)) occurs in respect of a Benchmark which is used in whole or in part to calculate interest under General Condition 4, the Calculation Agent shall elect to take one of the actions described in General Condition 6(l).


More Definitions of Administrator/Benchmark Event

Administrator/Benchmark Event means, in respect of any Securities and a Relevant Benchmark, the occurrence or existence, as determined by the Calculation Agent, of any of the following events in respect of such Relevant Benchmark:
Administrator/Benchmark Event means the occurrence of a Non-Approval Event, a Rejection Event or a Suspension/Withdrawal Event, in each case being treated as having occurred on the Administrator/Benchmark Event Date.
Administrator/Benchmark Event means, in respect of any Series of Preference Shares and an Index, that one of the following events has occurred or will occur, as determined by the Calculation Agent, in respect of such Index:
Administrator/Benchmark Event means the delivery of a notice by the Issuer to the holders of the Notes (which can include posting of such notice through the relevant central securities depository) specifying, and citing Publicly Available Information that reasonably confirms, an event or circumstance which has the effect that we or the Calculation Agent are not, or will not be, permitted under any applicable law or regulation to use the Applicable Benchmark to perform our or its obligations under the terms of the Notes.
Administrator/Benchmark Event means, in relation to any Floating Rate Notes and a Benchmark, the occurrence of a Benchmark Modification or Cessation Event, a Non-Approval Event, a Rejection Event or a Suspension/Withdrawal Event.
Administrator/Benchmark Event means any authorisation, registration, recognition, endorsement, equivalence decision, approval or inclusion in any official register in respect of the Metal Reference Price or the administrator or sponsor of the Metal Reference Price has not been, or will not be, obtained or has been, or will be, rejected, refused, suspended or withdrawn by the relevant competent authority or other relevant official body, in each case with the effect that the Issuer, the Administrator or any other entity is not, or will not be, permitted under any applicable law or regulation to use the Metal Reference Price to perform its or their respective obligations under the ETC Securities.
Administrator/Benchmark Event means in respect of any Series of Notes and a Relevant Benchmark, that that one of the following events has occurred or will occur, as determined by the Calculation Agent, in respect of such Relevant Benchmark:
