Additionally, Sponsor shall comply with the Council of Medical Specialty Societies Code for Interactions with Companies, American Medical Association Code of Medical Ethics, ACCME Standards for Integrity and Independence in Accredited Continuing Education, Physician Payments Sunshine Act (currently operating as the Open Payments program), AdvaMed Code of Ethics on Interactions with U.S. Health Care Professionals, and PhRMA Code on Interactions with Health Care Professionals, as applicable.
Executive agrees and covenants that he shall at all times conduct himself in full compliance with all legal and ethical regulations and industry guidelines applicable to his position with the Company, including, without limitation Health Insurance Portability and Accountability Act of 1996 (42 U.S.C. 1320d-1329d-8; 42 U.S.C. 1320d-2) ("HIPAA") and Advanced Medical Technology Association ("AdvaMed") Code of Ethics on Interactions with Health Care Professionals.
University and Company also agree that they intend to fully comply with other appropriate guidelines such as the PhRMA Code and AdvaMed Code of Ethics for Interactions with Healthcare Professionals.
Each Party shall ensure that all Persons for whom they have legal responsibility and liability in accordance with the foregoing sentence comply with all Applicable Laws, the AdvaMed Code or the PhRMA Code, as applicable, Applicable Compliance/Review Polices, and all requirements of this Agreement, and shall implement and maintain policies and procedures to ensure such compliance.
Integra shall not (i) alter the Products, (ii) pay, offer or promise to pay, or authorize payment of any money, or give, offer or promise to give, or authorize the giving of anything of value to any healthcare professional in violation of any anti-kickback statutes, the AdvaMed Code, or other applicable Laws or policies described herein, or (iii) incur any obligation in the name of or on behalf of SeaSpine.
Grantee will comply with (and shall be solely responsible for any failure to comply with) all relevant laws, rules and regulations in connection with the Program, including, but not limited to, industry codes such as the AdvaMed Code of Ethics on Interactions with Health Care Professionals and the MedTech Europe Code of Ethical Business Practice, which can be accessed at ▇▇▇▇▇://▇▇▇.▇▇▇▇▇▇▇.▇▇▇/aboutus/corp-responsibility, the Foreign Corrupt Practices Act, the UK Bribery Act and data protections laws.
