The Investment Adviser has consented to the use by the Fund of the name or identifying words "Advantage Advisers" in the name of the Fund.
This Code of Ethics (the “Code”) has been adopted by Advantage Advisers, L.L.C. (“Advantage”) andAdvantage Advisers Management, L.L.C. (“AAM”) (each, an “Adviser” and collectively, the “Advisers”), registered investment advisers, in order to satisfy the requirements of Section 204A of the Investment Advisers Act of 1940 (the “Advisers Act”), Rule 204A-1 under the Advisers Act and Rule 17j-1 under the Investment Company Act of 1940 (the “1940 Act”) as applicable to the Advisers.
The Investment Adviser may require the Fund to cease using "Advantage Advisers" in the name of the Fund if the Fund ceases to employ, for any reason, the Investment Adviser, any successor thereto or any affiliate thereof as investment adviser of the Fund.
The name or identifying words "Advantage Advisers" may be used from time to time in other connections and for other purposes by the Investment Adviser and any of its affiliates.
Each of such financial statements (including the related notes, where applicable) has been prepared in accordance with GAAP consistently applied during the periods involved and are consistent with the books and records of Advantage Advisers.
Each of the Advantage Advisers Balance Sheets (including the related notes, where applicable) present fairly, in all material respects, the financial position of Advantage Advisers as of the dates thereof, and the other financial statements referred to in the preceding sentence present fairly (subject to recurring audit adjustments normal in nature and amount) the results of Advantage Advisers' operations for the respective periods therein set forth.
