AES Agreement definition

AES Agreement means that certain Capacity Sale and Tolling Agreement dated May 1, 1998, as amended May 15, 1998, by and among the AES Subsidiaries and Xxxxxxxx Energy Marketing & Trading Company (f/k/a Xxxxxxxx Energy Services Company) and their respective successors and assigns and any amendments or modifications thereto.

Examples of AES Agreement in a sentence

  • This AES Agreement constitutes the entire Agreement between the Parties in respect of its subject matter and supersedes all previous agreements and understandings whether oral or written between the Parties.

  • All payments made by you under this AES Agreement are to be made free of any restriction or condition and, subject to clause 5.4 (Disputed invoices), free and clear of, and without, any deduction or withholding, whether by way of set-off, counterclaim or otherwise.

  • If any provision of this AES Agreement is or becomes or is declared invalid, unenforceable or illegal by the courts of the jurisdiction to which it is subject such invalidity, unenforceability or illegality will not prejudice or affect the remaining provisions of this AES Agreement which will continue in full force and effect notwithstanding such invalidity, unenforceability or illegality.

  • Each of the Parties acknowledges and confirms that it does not enter into this AES Agreement in reliance on any representation or warranty or other undertaking not fully reflected in the terms of this AES Agreement.

  • In this clause 21, a reference to a “dispute” or “difference” includes any dispute over the interpretation or application of this AES Agreement or a question of fact or law arising in connection with this AES Agreement.

  • Except where expressly stated otherwise in this AES Agreement, the rights, powers and remedies provided in this AES Agreement are cumulative and are in addition to any rights, powers or remedies provided by law.

  • This AES Agreement does not constitute, and nothing contained in this AES Agreement will be deemed or construed to constitute, a Party (except as specifically contemplated by this AES Agreement) as partner, agent or representative of any other Party.
