Affiliate Obligations definition

Affiliate Obligations means obligations of Xxxx Properties, LLC, Xxxx Properties II, LLC or any of their respective Subsidiaries (or joint ventures in which they own an interest) or other Xxxx-family-owned entities (or joint ventures in which they own an interest, excluding, however, any of the foregoing that is a Guarantor), including development loans; provided, however, that capital calls required to be made by the Company or its Restricted Subsidiaries to or for the benefit of a joint venture pro rata on the basis of the Company’s or a Restricted Subsidiary’s ownership in such joint venture, which capital calls are not being made to enable such joint venture to pay amounts owed under any Indebtedness, shall not be Affiliate Obligations but will be treated as Restricted Payments.

Affiliate Obligations means Sellers' debt and other obligations and liabilities to affiliates and stockholders of Sellers, and includes all interest, fees, costs and similar amounts payable by Sellers in respect thereof.

Affiliate Obligations means, with respect to any Affiliate Loan, (a) the principal amount of, and accrued interest on (including, without limitation, any interest which accrues after the commencement of any case, proceeding or other action relating to the bankruptcy, insolvency or reorganization of Borrower), such Affiliate Loan and (b) all other indebtedness, obligations and liabilities of Borrower to the Affiliate Creditor that made such Affiliate Loan now existing or hereafter incurred or created under or with respect to or in connection with such Affiliate Loan.

Examples of Affiliate Obligations in a sentence

• The obligations of the EUR Issuer and each Foreign Obligor Affiliate pursuant to the preceding sentence shall survive any termination, cancellation, or release of these Foreign Obligor Affiliate Obligations.

• The obligations of Holdings pursuant to the preceding sentence shall survive any termination, cancellation, or release of these US Obligor Affiliate Obligations.

• The EUR Issuer and each Foreign Obligor Affiliate agrees that its obligations under this Section 24 shall be joint and several with any and any other Guarantees given in connection with this Agreement with respect to the Foreign Obligor Affiliate Obligations and the Foreign Currency Notes from time to time.

• Each of the Guarantors agrees that all Affiliate Obligations (as defined below), interest thereon, and all other amounts due with respect thereto, are hereby subordinated as to time of payment and in all other respects to all the Guarantied Obligations.

• If at any time any payment of any of the Guaranteed Affiliate Obligations of an Affiliate is rescinded or must be otherwise restored or returned upon the insolvency, bankruptcy or reorganization of such Affiliate or otherwise, the Company's obligations hereunder with respect to such payment shall be reinstated at such time as though such payment had not been made.

Affiliate Obligations means all liabilities or obligations of the Group under all Affiliate Agreements and all other liabilities of the Group to any of Sellers, the current or past directors, officers or employees of the Group, any current or past holder of Equity Equivalents of the Group, or their respective Affiliates or Related Persons or of any such Person to the Group (other than Permitted Affiliate Obligations), including without limitation the Liabilities set forth on Schedule G.
