Real Estate Fees. Pursuant to a separate written agreement, Seller has agreed to pay Bancap Self Storage Group, Inc. (“Bancap”), a real estate commission and/or advisor fee upon consummation of the transaction contemplated by this Agreement. Except for Seller’s agreement with Bancap, Seller and Purchaser hereby represent and warrant to each other that neither such party has authorized any broker or finder to act on such party’s behalf in connection with the sale and purchase hereunder and neither Seller nor Purchaser has dealt with any broker or finder purporting to act on behalf of any other party. Purchaser agrees to indemnify, defend and hold Seller harmless from and against any and all claims, losses, damages, costs or expenses of any kind or character arising out of or resulting from any agreement, arrangement or understanding alleged to have been made by Purchaser or on Purchaser’s behalf with any broker or finder in connection with this Agreement or the transaction contemplated hereby. Seller agrees to indemnify, defend and hold Purchaser harmless from and against any and all claims, losses, damages, costs or expenses of any kind or character arising out of or resulting from any agreement, arrangement or understanding alleged to have been made by Seller or on Seller’s behalf with any broker or finder in connection with this Agreement or the transaction contemplated hereby, including Bancap. Notwithstanding anything to the contrary contained herein, this Section 9.2 shall survive the Closing or any earlier termination of this Agreement.

Real Estate Fees. Reimbursement of costs of the real estate fee shall be the least of: seven per centum of sale price or $10,000.00 or the amount charged by a real estate agency. This shall be payable upon the sale of the employee’s principal place of residence (or employee’s spouse and children’s principal place of residence) which was owned by the employee (or jointly by the employee and spouse) prior to the transfer date. An employee who has sold their private dwelling house in which they resided immediately prior to the date of the appointment to the new position, without the aid of a realtor, shall be entitled to claim $3,000.00 and shall not be eligible for reimbursement as described above. This reimbursement may be claimed up to one year after the transfer has taken place.
Real Estate Fees. Tenant shall not be liable for any broker or real estate commissions in connection with this Lease, and Landlord shall be solely responsible therefor. Any real estate representation on behalf of Tenant shall be at Tenant’s sole cost and expense for this Lease, any extensions thereof or any other of Tenant’s leases in the CSLCS or other property owned by Landlord.
