Affiliated Participant definition

Affiliated Participant means any Participant controlling, controlled by, or under common control with another Participant.

Affiliated Participant means the Borrower, Member, any Project Company, and Sponsor for so long as such Person has any obligation under any Collateral Document to which it is a party and any Major Project Participant that is an Affiliate of Borrower, Sponsor, any Project Company or Member for so long as such Person has any obligation under a Material Project Document to which it is a party.

Affiliated Participant means, at any time, any Participant that, together with its Affiliates, owns beneficially (within the meaning of Rule 13d-5 of the Exchange Act as in effect on the Closing Date), directly or indirectly, in the aggregate Equity Interests representing not less than 5% of the aggregate ordinary voting power represented by the issued and outstanding Equity Interests of the Parent Guarantor. For the avoidance of doubt, for purposes of this definition, Equity Interests shall include the Convertible Second Lien Notes.

Examples of Affiliated Participant in a sentence

  • Where one (1) individual serves as the Voting Senior Officer for more than one Affiliated Participant, such individual shall have the right to vote on behalf of each such Affiliated Participant.

  • No material adverse change has occurred with respect to the financial condition, properties or business of any Affiliated Participant that could be reasonably expected to have a Material Adverse Effect.

  • Each Operative Document has been duly executed and delivered by Borrower and each Affiliated Participant, and to the knowledge of Borrower, by each other party thereto.

  • No Event of Default or Inchoate Default with respect to any Affiliated Participant has occurred and is continuing.

  • None of Borrower, the Member or any Affiliated Participant that is a party to an Operative Document is an investment company or a company controlled by an investment company within the meaning of the Investment Company Act of 1940, as amended.

  • None of the Operative Documents to which Borrower or any Affiliated Participant is a party has been amended or modified except in accordance with this Financing Agreement or as disclosed.

  • No Bankruptcy Event has occurred and is continuing with respect to Borrower, the Member or any Affiliated Participant or, to the knowledge of Borrower, with respect to any Major Project Participant.

  • By execution and delivery of this Financing Agreement, the Agents, the Lenders, Issuing Bank and Borrower (on behalf of itself and on behalf of Sponsor, Member, each Project Company and each Affiliated Participant) accept, for themselves and in respect of their property, generally and unconditionally, the jurisdiction of the aforesaid courts.

Related to Affiliated Participant

  • CDS Participant means a participant in CDS that holds security entitlements in Units on behalf of beneficial owners of those Units;

  • Participant has the meaning specified in Section 10.06(d).

  • Affiliated Entity means any entity controlling, controlled by, or under common control with an Insured.

  • Participating Company means the Company or any Parent Corporation or Subsidiary Corporation.

  • Participating Employer means any trade or business (whether or not incorporated) which adopts this Plan with the consent of the Company identified in the Adoption Agreement.

  • Affiliated Company means any company controlled by, controlling or under common control with the Company.
