Aggregate Participation Amount definition

Aggregate Participation Amount means (A) the Net Merger Consideration less (B) to the extent the following preferences are payable in accordance with the provisions hereof, the sum of (1) the product of (x) the Series A Preference and (y) the number of Company Series A Shares, AND (2) the product of (x) the Series B Preference and (y) the number of Company Series B Shares, AND (3) the product of (x) Series C Preference and (y) and the number of Company Series C Shares, AND (4) the product of (x) the Series C-1 Preference and the number of Company Series C-1 Shares.
Aggregate Participation Amount means the Aggregate Transaction Value minus the Aggregate Series B Preference Amount.
Aggregate Participation Amount means the Aggregate Merger Consideration less the Aggregate Liquidation Preference Payable.

Examples of Aggregate Participation Amount in a sentence

  • If any Letter of Credit expires or is surrendered without being drawn (in whole or in part) then, in such event, the foregoing commitment to fund Purchases shall expire with respect to such Letter of Credit, the L/C Participation Amount shall automatically decrease by the amount of the Letter of Credit which is no longer outstanding, and the Aggregate Participation Amount shall decrease accordingly.


More Definitions of Aggregate Participation Amount

Aggregate Participation Amount means, as of any date, the sum ------------------------------ of the L/C Participation Amount, the Swing Line Outstandings and the Aggregate Cash Investment.
Aggregate Participation Amount means the amount, if any, by which the Aggregate Merger Consideration exceeds the Aggregate Liquidation Preferences.
Aggregate Participation Amount means the excess, if any, of the Closing Cash Merger Consideration over the sum of (a) the Aggregate Series A Preferred Stock Preference, (b) the Aggregate Series B Preferred Stock Preference, (c) the Aggregate Series C Preferred Stock Preference and (d) the Aggregate Common Stock Preference.

For purposes of this definition, any shares of Company Stock canceled pursuant to Section 1.6(c) shall be disregarded, all Preferred Stock Warrants shall be disregarded and all shares of Series B Preferred Stock, Series C Preferred Stock and Series D Preferred Stock outstanding or deemed outstanding shall be deemed converted into Common Stock immediately prior to the Effective Time.
Aggregate Participation Amount means the sum of the Participation Amounts for each of the Conversion Hotels.
Aggregate Participation Amount means (A) the Net Merger Consideration less (B) the sum of (1) the product of (x) the Series A Preference and (y) the number of Company Series A Shares outstanding immediately prior to the Effective Time, AND (2) the product of (x) the Series B Preference and (y) the number of Company Series B Shares outstanding immediately prior to the Effective Time, AND (3) the product of (x) the Series C Preference and (y) the number of Company Series C Shares outstanding immediately prior to the Effective Time.

  • Participation Amount as defined in Section 3.4(b).

  • Participation Percentages means the percentage of the total actual project costs that will be contributed by the OPWC, not to exceed the maximum dollar contribution of the OPWC identified in this Project Agreement, and the percentage of the total actual project costs that will be contributed by the Recipient. Both of the percentages are identified in Appendix D. In the event that the total actual project costs exceed the estimated project costs identified in Appendix D, the Local Subdivision Participation Percentage will increase to reflect the cost overrun, while the OPWC percentage contribution will decrease recognizing that there is a maximum dollar contribution from the OPWC which is identified in this Project Agreement.

  • Participation Percentage means the rounded percentage of the total actual Project costs that will be contributed by the OPWC, not to exceed the maximum dollar contribution of the OPWC identified in this Project Agreement, and the rounded percentage of the total actual Project costs that will be contributed by the Recipient. Both percentages are identified in Appendix B. If the total actual Project costs exceed the estimated Project costs identified in Appendix B, the Local Subdivision Participation Percentage will increase to reflect the cost overrun, while the OPWC percentage contribution will decrease recognizing that there is a maximum dollar contribution from the OPWC which is identified in this Project Agreement.

  • Class C Percentage means at any time the percentage equivalent of a fraction, the numerator of which is the Outstanding Amount of the Class C Notes and the denominator of which is the sum of the Outstanding Amount of all the Notes.

  • Original Class B-6 Percentage The Class B-6 Percentage as of the Cut-Off Date, as set forth in Section 11.13.

  • Original Class B-4 Percentage The Class B-4 Percentage as of the Cut-Off Date, as set forth in Section 11.11.

  • Original Class B-5 Percentage The Class B-5 Percentage as of the Cut-Off Date, as set forth in Section 11.12.

  • Original Class B-3 Percentage The Class B-3 Percentage as of the Cut-Off Date, as set forth in Section 11.10.

  • Aggregate Invested Amount means, at any date of determination, the sum of the Invested Amounts with respect to all Outstanding Series on such date of determination.

  • Aggregate Senior Percentage With respect to any Distribution Date, the fraction, expressed as a percentage, the numerator of which is equal to the aggregate Class Certificate Balance of the Senior Certificates immediately prior to such Distribution Date and the denominator of which is the aggregate Stated Principal Balance of all the Mortgage Loans as of the Due Date in the month preceding the month of such Distribution Date (after giving effect to Principal Prepayments in the Prepayment Period related to that prior Due Date).

  • Original Class B-2 Percentage The Class B-2 Percentage as of the Cut-Off Date, as set forth in Section 11.09.

  • Class B Prepayment Percentage Any of the Class B-1 Prepayment Percentage, Class B-2 Prepayment Percentage, Class B-3 Prepayment Percentage, Class B-4 Prepayment Percentage, Class B-5 Prepayment Percentage or Class B-6 Prepayment Percentage.
