After Taxable Status Date each year the Agency shall determine the Annual PILOT, the Apportioned Share of the Annual PILOT and the School District Annual PILOT.
The Agency shall send an invoice to the Company for the Annual PILOT.
It is understood and agreed that CN Associates and the Company may elect either option (i) or (ii) above at its discretion, but if a change in law occurs as provided in (iii) above, the Annual PILOT shall be paid as thereby required by law.
The damage to, or destruction of, the Improvements, or any portion thereof, shall not relieve Owner from the duty to pay the Annual PILOT Floor Amount specified in Section 2.3(b) above.
The Annual PILOT required by this Agreement must be paid to the County Treasurer not later than January 31 of the year following the year for which the Annual PILOT is payable.
Except as hereinafter provided with respect to Recaptured Abated Taxes under Section 4(b) below (for which CN Associates shall have no liability), each of CN Associates and the Company shall be fully, jointly and severally liable and responsible for payment of the Annual PILOT and any and all other amounts required to be paid under this Agreement, including any and all payments under Sections 4, 6 and 7 hereof, notwithstanding anything in this Agreement, the Lease or the Company Lease to the contrary.
The parties agree that each Annual PILOT, notwithstanding anything in this Agreement to the contrary, will be in lieu of any property taxes with respect to the Improvements which would otherwise be owed by Owner to the County for any year during the Abatement Period.
The amount of the Annual PILOT for each year during the Abatement Period will be equal to the greater of (a) 50% of all property taxes abated by this Agreement, or (b) $445,051 (the “Annual PILOT Floor Amount”).
By way of illustration, an Annual PILOT that is due with respect to calendar year 2025 will be due and payable no later than January 31, 2026.
The Improvements will be capable of generating a minimum of 150 megawatts (the “Minimum Guaranteed Capacity”); however, in the event that the Improvements have a Capacity (as defined herein) less than the Minimum Guaranteed Capacity, such circumstance shall not be a default under this Agreement so long as Owner pays the Annual PILOT Floor Amount specified in Section 2.3(b) of this Agreement.
