Annual Retainer Fees definition

Annual Retainer Fees means the annual board retainer fees paid by the REIT to a Trustee in a calendar year for service on the Board;
Annual Retainer Fees means the annual fees (other than Meeting Fees) paid to a Director by the Company for service on the Board or committee(s) of the Board, including the Board retainer, lead director retainer, committee chair and member retainers and any other forms of retainer paid to a Director for service on the Board.
Annual Retainer Fees means the annual retainer which a Director is entitled to receive in a fiscal year for service on the Board, including the annual retainer which a Director is entitled to receive for service as chair of the Board or as chair or a member of any of the Board’s committees, and all fees for attending meetings of the Board or any committee thereof;

Examples of Annual Retainer Fees in a sentence

  • The Plan provides for the payment to Directors of fees in the form of some or all of the following: Annual Retainer Fees, Committee Chairman Fees, Meeting Fees and Restricted Stock awards (generally, the “Director Fees”).

More Definitions of Annual Retainer Fees

Annual Retainer Fees means the annual Board, Board committee, Board chair, Board committee chair and lead independent Trustee retainer fees, as applicable, paid by the REIT to a Trustee in a calendar year for service on the Board, but, for greater certainty, shall exclude any meeting fees payable in respect of attendance at individual meetings and amounts paid as a reimbursement for expenses incurred in attending meetings;
Annual Retainer Fees means the annual rate of Board retainer fees (excluding meeting and committee fees) established by the Board as in effect at the applicable time.
Annual Retainer Fees means annual retainer fees payable to an Outside Director in his capacity as such for service on the Board of Directors.
Annual Retainer Fees means the amount of Compensation determined by the Board to be payable to each Non-Employee Director for an entire Plan Year.
Annual Retainer Fees means the cash amount paid for any calendar year by the Company to a Non-Employee Directors for serving as a Director and for serving as the chair of the Board or any committee of the Board as of a particular payment date, as established by the Board and in effect from time to time. "Annual Retainer Fees" shall not include the portion of the Annual Retainer Fee paid in the form of Common Stock of the Company under the practices of the Company in effect at any particular time, fees for attending meetings of the Board or any committee of the Board, payments of deferred compensation, gains on stock options or other forms of compensation to which a Non-Employee Director may become entitled from time to time.
Annual Retainer Fees means the annual retainer and additional annual retainer described in Sections 3.1(a) and (b) below, respectively, as such annual retainers may be amended by the Board from time to time.
Annual Retainer Fees means all or such portion of the annual retainer fees or other compensation payable to an Outside Director in his capacity as such for service on the Board of Directors as determined by the Board of Directions.
